1.    Citation

    These Regulations may be cited as the Securities (Institutions Licensing) Regulations.

2.    Interpretation

    In these Regulations, unless the context otherwise requires—

    “board” means—

    (a)    where the securities business is a company, the board of directors;

    (b)    where the securities business is a partnership, the partners; or

    (c)    where the securities business is conducted in another legal form, the persons registered with the Regulatory Authority as having responsibility for the conduct of the business; and

    “key person” or “key personnel” means the Chief Executive Officer, Director, Chief Financial Officer, company secretary, compliance officer and internal auditor or any person fulfilling a similar function with a different name or any other officer that the Regulatory Authority may deem to be a key person.

3.    Application of Regulations

    These Regulations shall apply to a person who wishes to establish or operate a securities institution and applies to the Regulatory Authority for a licence under section 3 of the Act.

4.    Application for licence

    (1) A person shall not establish or operate a securities institution unless that person has been issued with a licence in accordance with section 3 of the Act.

    (2) A person who wishes to apply for a licence to establish or operate a securities institution shall make an application to the Regulatory Authority in Form 1A set out in Schedule 1.

    (3) An applicant may apply to be an operator of more than one category of securities institution business and shall indicate, on the application form, which category or categories of securities institution business the applicant wishes to establish or operate.

    (4) Where the Regulatory Authority grants a licence to an applicant under section 3 of the Act, it shall—

    (a)    grant a single licence for the applicant stating the categories in the licence; and

    (b)    stipulate in the licence, a condition specifying the securities institution business the applicant is licensed to operate.

    (5) An application for a licence shall be accompanied by a non-refundable processing fee set out in Schedule 5 for the type of licence applied for, and where the application is for more than one licensed activity, the applicant shall pay an application fee for each activity.

    (6) An application for a licence under subregulation (2) shall be accompanied by the information set out in Schedule 2.

    (7) An applicant shall supply such additional information and meet such additional requirements as the Regulatory Authority may direct.

    (8) An applicant shall complete a personal questionnaire, set out in Schedule 3, in respect of each of the key persons and controllers and the questionnaire shall not be considered complete unless signed and dated by the person to whom the questionnaire relates.

    (9) Where an applicant is a partnership, personal questionnaires shall be submitted by the partners and where the applicant is any other legal entity, the application shall be submitted by one of the key persons responsible for the conduct of the business.

    (10) Where a person, who is required to submit a personal questionnaire has already filed such a questionnaire with the Regulatory Authority, the applicant may supply the Regulatory Authority with a copy of that questionnaire giving details of any changes to the information contained in the questionnaire and including a declaration by the applicant and the person to whom the questionnaire relates that—

    (a)    the changes indicated are accurate; and

    (b)    in all other respects, the information in the questionnaire remains true and is not misleading.

    (11) An applicant may withdraw an application at any time and the application fee paid in respect of the application shall not be refundable.

    (12) Where, following submission of the application, the applicant becomes aware of a material change in any of the information supplied with the application, or any material event that may affect the application, the applicant shall notify the Regulatory Authority of the change or event, irrespective of whether the Regulatory Authority has considered the application or not.

5.    Licence criteria

    (1) The Regulatory Authority shall grant a licence, in accordance with section 4 of the Act only if the Regulatory Authority is satisfied that the applicant and the applicant’s key persons and controllers meet the requirements of these Regulations.

    (2) In respect of the applicant under subregulation (1), the Regulatory Authority shall, before granting such applicant a licence, be satisfied that—

    (a)    the corporate governance of the applicant is in compliance with the Non-Bank Financial Institutions Regulatory Authority (Securities Business Corporate Governance) Rules;

    (b)    the applicant has the capacity to comply with the Non-Bank Financial Institutions Regulatory Authority (Securities Business Corporate Governance) Rules;

    (c)    the applicant has the capacity to comply with—

        (i)    any licence condition that applies to it, and

        (ii)    any other regulatory requirement imposed under the Act or other financial services laws;

    (d)    the applicant’s key personnel possess the minimum qualifications set out in Schedule 4 in respect of the activity that the applicant proposes to undertake;

    (e)    the financial resources of the applicant are sufficient for the activity for which the applicant is applying for a licence as specified in the Non-Bank Financial Institutions Regulatory Authority (Financial Resource Requirements) Rules:

            Provided that where the applicant is proposing to undertake more than one activity, the financial resources required shall be the sum total specified in the Non-Bank Financial Institutions Regulatory Authority (Financial Resource Requirements) Rules of each of those activities or such other amount as the Regulatory Authority may require;

    (f)    the applicant’s proposed business plan submitted provides reasonable grounds for believing that the applicant will conduct business in compliance with the regulatory requirements, without becoming a risk to the stability of the Botswana capital markets;

    (g)    the applicant has not, at any time or in any jurisdiction—

        (i)    been subject to any insolvency or liquidation proceedings,

        (ii)    made any arrangement with creditors,

        (iii)    been the subject of a compulsory winding-up, or

        (iv)    engaged in any other conduct,

        that may compromise the applicant’s ability to maintain the financial resource requirements applicable to the applicant;

    (h)    the applicant has not at any time, been subject to proceedings by a law enforcement authority or regulatory authority or any professional association, of a nature that would compromise the applicant’s integrity;

    (i)    there are no other factors that may compromise—

        (i)    the integrity, financial standing or professional skills of the applicant or its key personnel,

        (ii)    the integrity or financial standing of the applicant’s controllers,

        (iii)    the sustainability of the financial position of the applicant and its likely impact on the stability of the financial system in Botswana, or

        (iv)    the capacity of the applicant to meet its regulatory requirements and the relevant obligations which the applicant may be subject to in Botswana or elsewhere, imposed by law; and

    (j)    there are no factors that might impede the Regulatory Authority’s effective oversight of the securities institution business.

    (3) In respect of the applicant’s key person and controller, the Regulatory Authority shall before granting a licence to the applicant, be satisfied that—

    (a)    the applicant’s key person or controller has not been convicted of a criminal offence involving dishonesty;

    (b)    the applicant’s key person or controller has not been found guilty of misconduct or unprofessional conduct or other conduct that may compromise his or her integrity as a key person or controller, by a competent tribunal, board or body legally constituted, within or outside Botswana, for the purpose of adjudicating on matters of discipline and conduct;

    (c)    the applicant’s key person or controller, being a holder of a professional qualification, has not been suspended or barred from practising the profession, trade or skill within or outside Botswana;

    (d)    the applicant’s key person or controller has not been removed from any office of trust on account of misconduct, by any court within or outside Botswana;

    (e)    the applicant’s key person or controller has not, in any jurisdiction, been subject to termination by his or her employer, nor has he or she resigned from a position in circumstances where, but for the resignation there would likely have been an alternative sanction such as dismissal;

    (f)    the applicant’s key person or controller has not, at any time been subject to bankruptcy proceedings or made other arrangements or arrangements of a nature that might compromise his or her financial standing and the ability to maintain a sound financial position;

    (g)    the applicant’s key person or controller has not been involved as a director or controller, or any capacity with significant influence over the management of the organisation, in any entity, whether company, partnership or any legal form, that has been subject to any of the proceedings set out in subregulation (2) (h) unless the Regulatory Authority is satisfied that the circumstances do not compromise on the applicant’s key person’s or controller’s financial standing; and

    (h)    there are no other factors that might compromise his or her integrity, competence or financial standing.

    (4) Where the applicant is licensed by the Bank of Botswana, or where any key person or controller is an employee or director of a bank licensed by the Bank of Botswana—

    (a)    the Regulatory Authority may rely upon a certificate from the Bank of Botswana as to the integrity and financial standing of the applicant or its key person or controller; and

    (b)    notwithstanding paragraph (a), the Regulatory Authority shall make its own determination as to whether the Regulatory Authority’s requirements regarding the financial resources, skills, qualifications of the applicant and key person are met.

6.    Additional applications

    (1) A person operating a securities institution business may apply for an amendment to a licence to permit the undertaking of additional activities as set out in Form 1B of Schedule 1.

    (2) The Regulatory Authority shall approve the additional activities and amend the licence accordingly, only if it is satisfied that the applicant and the applicant’s key person and controller meet the requirements specified in these Regulations in respect of the additional activities.

    (3) An application under subregulation (1) shall be accompanied by a processing fee corresponding to the licence application as set out in Schedule 5 and—

    (a)    where the application is for more than one licensed activity, the applicant shall pay the application fee for each activity; and

    (b)    the fee shall be payable to the Regulatory Authority in such form or manner as it may direct.

    (4) A securities institution shall not appoint a new key person, nor shall a person become a controller of a securities institution unless the Regulatory Authority has granted its approval in writing.

    (5) The Regulatory Authority shall grant its approval under subregulation (4) only if the Regulatory Authority is satisfied that the new key person or controller, as the case may be, meets the requirements specified in these Regulations.

    (6) A licensed securities institution that wishes to appoint a new key person shall make an application to the Regulatory Authority using Form 1C of Schedule 1.

    (7) Where a person wishes to become a controller or a partner in a securities institution, the securities institution shall submit an application to the Regulatory Authority, using Form 1C of Schedule 1 and the application shall be accompanied by a personal questionnaire signed and dated by the person who is to be the controller or partner.

    (8) An application for approval of new key persons or controllers shall be accompanied by a processing fee corresponding to the licence application set out in Schedule 5 and the fees shall be payable to the Regulatory Authority in such form and manner as it may direct.

    (9) Where the Regulatory Authority becomes aware that a key person has been appointed by the securities institution without the approval of the Regulatory Authority, the Regulatory Authority may—

    (a)    impose a penalty not exceeding P50 000 against the securities institution and direct the securities institution to submit the appropriate application; or

    (b)    direct the securities institution to dismiss the key person.

    (10) Where the Regulatory Authority becomes aware that a new person has become a controller of the securities institution without the approval of the Regulatory Authority, the Regulatory Authority may—

    (a)    impose a penalty not exceeding P50 000 against the securities institution and direct the securities institution to submit the appropriate application;

    (b)    direct the securities institution to dismiss the controller; or

    (c)    direct the person to dispose of his or her interest in the securities institution.

    (11) Where the Regulatory Authority becomes aware that a key person has been appointed by the securities institution without the approval of the Regulatory Authority, the Regulatory Authority may—

    (a)    impose a penalty not exceeding P10 000 against the person; or

    (b)    direct the securities institution to dismiss the key person.

7.    Processing applications

    (1) Where the Regulatory Authority receives an application from a person in accordance with regulation 5 or 6, the Regulatory Authority—

    (a)    shall acknowledge receipt of the application in writing;

    (b)    may require additional information from the applicant or any of the key personnel or controllers; and

    (c)    shall, where the information is not supplied, decline the application.

    (2) Where the Regulatory Authority considers that the licensing criteria are not met, it shall—

    (a)    inform the applicant, in writing, of its intention to decline the application and giving reasons;

    (b)    allow the applicant one month in which to make representations; and

    (c)    consider any representation made within that period and may—

        (i)    confirm the decision to decline the application,

        (ii)    approve the application, or

        (iii)    seek further information from the applicant.

    (3) Where the Regulatory Authority intends to approve an application, with conditions, it shall—

    (a)    inform the applicant in writing, giving reasons;

    (b)    allow the applicant one month in which to make representations; and

    (c)    consider the representations received within that period and may—

        (i)    confirm the decision to impose conditions,

        (ii)    approve the application with any conditions, in which case regulation 8 shall apply in relation to the licence fees, or

        (iii)    reject the application, in which case subregulation (2) shall apply.

    (4) Where the Regulatory Authority intends to approve an application or an application for an extension of licensed activities, it shall—

    (a)    inform the applicant in writing of the approval giving reasons; and

    (b)    inform the applicant in writing, the date from which approval takes place where an annual licence fee has been paid.

    (5) Notwithstanding any other provision of the Regulations, where the Regulatory Authority approves an application, it shall give the applicant written notice and the approval shall take effect from the date specified by the Regulatory Authority.

8.    Fees

    (1) A person operating a securities business shall pay a licence renewal fee as set out in Schedule 5, to the Regulatory Authority, in such form and manner as the Authority may direct.

    (2) The first supervisory levy shall be paid immediately after the Regulatory Authority has issued a licence.

    (3) Where the Regulatory Authority has issued a licence, after 1st April the supervisory levy shall be reduced by one twelfth for every complete month that has passed.

9.    Period of validity of licence

    All licences that are issued by the Regulatory Authority, unless provided for under the Act, shall be valid for a period of three years.

10.    Renewal of licence

    (1) An application for the renewal of a licence shall be made to the Regulatory Authority at least three months before the licence expires in Form 1D set out in Schedule 1.

    (2) Where an application for renewal is made after the period of three months referred to in subregulation (1), the Regulatory Authority may renew the licence subject to payment of a penalty fee of P350 per day during the period that the securities institution does not renew its licence.

    (3) Where a period exceeding three months from the date that the licence expired has elapsed, a securities institution shall re-apply for a licence, and the Regulatory Authority shall treat the re-application as a new application for a licence.

    (4) An application for the renewal of a licence under subregulation (3) shall be accompanied by the information set out in Schedule 2.

    (5) An applicant shall supply such additional information and meet such additional criteria as the Regulatory Authority may direct.

11.    Licence suspension and revocation

    (1) The Regulatory Authority may suspend or revoke a licence issued under the Act, or employ any of the other powers available to it under the Act when—

    (a)    the securities institution makes such a request;

    (b)    any information supplied to the Regulatory Authority by the securities institution, its key persons or controllers (including information supplied in a licence application) is false or misleading;

    (c)    the Regulatory Authority is no longer satisfied that the conditions justifying the granting of a licence continue to exist;

    (d)    the securities institution or any financial group of which it is a part, has breached any requirement of the Act or rules;

    (e)    the securities institution has breached a condition on the licence;

    (f)    the Regulatory Authority has reasonable grounds for believing that the securities institution or its key persons or its controllers are not fit and proper persons; or

    (g)    the securities institution has not commenced business within a period of 12 months from the date of a licence being granted to it.

    (2) Where a securities institution decides to withdraw from a regulated activity, it shall—

    (a)    notify the Regulatory Authority and each of its clients of its decision;

    (b)    ensure, to the satisfaction of the Regulatory Authority, that any such business which is outstanding is properly transferred to another securities institution; or

    (c)    arrange for the orderly winding down of the business subject to any conditions that the Regulatory Authority may specify.

12.    Conditions on licences

    (1) The Regulatory Authority shall impose the following conditions on any licence granted by it under the Act—

    (a)    a licence issued under the Act shall not be transferable;

    (b)    a licence holder shall undertake only the Non-Bank Financial Institutions activities specified in the licence;

    (c)    a director of a securities institution shall not be a director or partner of, or have any direct or indirect interest in any other securities broker or dealer; and

    (d)    a security broker or dealer shall be manned at all times by an officer who is an agent, partner, director or employee who—

        (i)    has the requisite skills set out in Schedule 4, and

        (ii)    has the right to execute orders on a securities exchange.

    (2) The Regulatory Authority may vary the conditions of a licence where it is concerned that the securities institution may not have the necessary financial, human or other resources to continue to operate.

    (3) The Regulatory Authority may suspend or restrict the activities of the securities institution in any way it considers appropriate under the circumstances.

13.    Duplicate licence

    Where the Regulatory Authority is satisfied that a licence issued under the Regulations is lost, destroyed or defaced, the Regulatory Authority may upon a payment of P1 000 by the licensee, issue a duplicate licence.

14.    Offences and penalties

    (1) A person who, without reasonable cause, fails to comply with these Regulations commits an offence and is liable to a fine not exceeding P200 000 or to imprisonment for a term not exceeding five years, or to both.

    (2) In the case of a continuing contravention of the provisions of regulation 15, such person shall be liable to a further fine not exceeding P350 for every day during which the contravention continues:

    Provided that the total amount for the further fine shall not exceed P200 000.

    (3) In addition, the administrative penalties that may be imposed by the Regulatory Authority in the event of a contravention of these Regulations shall include—

    (a)    a written warning to the person or a notice published in a newspaper of general circulation directing the person to—

        (i)    do a specified act or refrain from doing a specified act,

        (ii)    remedy the effects of the contravention,

        (iii)    compensate any person who has suffered loss because of the contravention, or

        (iv)    ensure that the person does not commit further contraventions of the Act; or

    (b)    variation, suspension or revocation of a licence.

    (4) Before taking action in terms of subregulation (3), the Regulatory Authority shall give the person written notice of the proposed action, specifying the grounds for the action and the facts supporting those grounds and allow the person to request for a hearing within 21 days of giving the notice.

    (5) Where a person requests for a hearing under subregulation (4), the Regulatory Authority shall hold a hearing before taking any action, and such hearing shall be held in camera, unless the person consents to the hearing being held in public.

15.    Transitional provisions

    (1) A securities institution that has been licensed under the Act shall be entitled to continue to conduct business as a securities institution:

    Provided that—

    (a)    it has commenced operations by the time these Regulations come into force;

    (b)    it complies with these Regulations and any other applicable regulatory requirements within one year of these Regulations coming into effect; and

    (c)    it makes an application under these Regulations within one year of these Regulations coming into effect and the Regulatory Authority has not made a decision on the application.

    (2) The Regulatory Authority, on approving the application of a securities institution that meets the requirements of subregulation (1), may impose conditions requiring the securities institution to take any action necessary to bring it into compliance with these Regulations.

    (3) Where the Regulatory Authority decides that an application from a securities institution under subregulation (1) does not meet the application criteria in these Regulations, the Regulatory Authority may grant an exemption from the requirement to have a licence, for a period not exceeding three months, so as to provide the securities institution time to wind down its business in an orderly manner as directed by the Regulatory Authority.

1. Information to accompany a licence application

    (1) General licence application requirements

    (a)    An application for a licence in the form set out in Schedule 1, together with any relevant attachments shall be enclosed in a sealed envelope and filed with the Regulatory Authority. There shall be further submissions through the electronic medium as advised by the Regulatory Authority.

    (b)    An application shall be accompanied by personal questionnaires signed and dated by each key person or controller.

    (2) Information to be supplied by applicants for a licence-

    (a)    Each applicant shall supply a description of business it seeks to undertake and the licence category for which it is applying.

    (b)    Each applicant, unless it is a newly formed business, shall supply copies (certified by the director, partner, as the case may be) of the last balance sheet, the last profit and loss account, the last cash flow statement and a statement of changes in equity, incorporating the results of its last financial year, and which have respectively been audited by a qualified auditor (including every document required by law to be attached). The copies of the financial statements shall be accompanied by a copy of the report of the auditors thereon (certified as aforesaid).

    (c)    Where the audited accounts are for a period that ends more than 6 months before the date of application, the applicant, unless it is a newly formed business, shall supply unaudited accounts for a period ending not earlier than 6 months prior to the date of application (which shall also be certified by a director or partner, as the case may be, as being a true and fair reflection of the company’s financial position to the best knowledge of the applicant).

    (d)    Each applicant shall supply a business plan containing the particulars of—

        (i)    the names and addresses of the key persons or controllers,

        (ii)    the names of the key person (of which there shall be at least two) who shall be registered with the Regulatory Authority as being responsible for the conduct of the business, and

        (iii)    where the applicant is a company, the shareholding structure which shall disclose—

            (aa)    whether any of the shareholders will have an executive role to oversee the day-to-day operations of the business, or

            (bb)    where controllers are incorporated, the full group structure,

            (cc)    where the applicant is a partnership, the names and addresses of the partners and information as to which of the partners will have an executive role to oversee the day-to-day operations of the business,

            (dd)    the qualifications, experience and expertise of key person and an explanation of how those qualifications individually and collectively will be sufficient for the business to be undertaken,

            (ee)    the financial projections for three years, together with the key assumptions on which the business plan is based,

            (ff)    one bank reference from the applicant’s current bank, or, if the applicant has yet to establish a bank account, the applicant should supply a bank reference for at least two of the directors or partners,

            (gg)    two business references relating to the applicant or, if the applicant has yet to commence business, references relating to at least two of the directors or partners,

            (hh)    the proposed premises suitably located and equipped to provide satisfactory service to clients in the field of activity to which the licence relates or evidence acceptable to the Regulatory Authority that such premises will be available, and

            (ii)    the human and technology resources available to the securities institution that will be capable of providing professional services to clients in the field of activity to which the licence relates or evidence acceptable to the Regulatory Authority that such resources will be available, and

            (jj)    the proposed independent auditor.

    (e)    Each applicant shall give an overview of its proposed corporate governance arrangements, which shall include—

        (i)    the legal form of the applicant and if—

            (aa)    it is a company, its documents of incorporation,

            (bb)    it is a partnership, its partnership agreement, or

            (cc)    it takes any other legal form, details of that legal form and accompanying verification documents,

        (ii)    particulars of the Board and Board Committees (if any),

        (iii)    particulars of any procedures, codes or protocols that the Board may have adopted at the time of the application and an overview of the procedures, codes and protocols that the applicant intends that the Board shall adopt by the time business commences,

        (iv)    particulars of the management and organisation structure, providing an organisation chart with brief descriptions of the powers and duties of the posts,

        (v)    an overview of the applicant’s assessment of risks and policies to mitigate those risks,

        (vi)    an overview of the applicant’s proposed internal controls, including inter alia

            (aa)    an explanation of how the controls mitigate the risks to which the applicant is subject, and

            (bb)    a copy of the procedures manual designed to implement internal controls, or

            (cc)    an overview of the proposed contents of such a manual, and

            (dd)    an undertaking that such a manual will be completed by the time the applicant commences licenced activities, and

        (vii)    the applicant’s code of conduct for staff, which shall include, inter alia

            (aa)    the provisions regarding the holding or trading of securities,

            (bb)    other measures for avoiding staff conflicts of interest,

            (cc)    confidentiality provisions, or

            (dd)    the measures to be taken in the event of any breach of the code, and

        (viii)    where the applicant seeks to use agents or other third parties to provide the services for which it will be responsible, the applicant should provide details of the agents or other third parties and should supply a copy of the contract and, where appropriate and available, the service level agreement.

    (f)    Each applicant shall provide evidence that it has the minimum financial resources required for the activities it proposes to undertake as specified in Financial Resources Requirements Rules.

    (g)    Each applicant shall provide evidence that it has the required insurance policies in place as specified in Financial Resources Requirements Rules.

    (3) Additional information requirements for applicants for a licence to act as securities brokers or dealers.

    In addition to the general application requirements specified in paragraph 2, an applicant for a licence who proposes to be a securities broker or dealer shall provide the following information—

    (a)    details of the securities exchanges, over the counter markets, central securities depositories with which it proposes to transact business;

    (b)    the identity of the person or persons who have the right to execute trades on the securities exchange;

    (c)    details of the proposed information technology and access to the trading network in compliance with the trading, clearing, delivery and settlement requirements of the securities exchange, central securities depository and central counterparty with which the applicant intends to transact business; or

    (d)    a declaration that no person is a director or holds a beneficial interest either directly or indirectly in more than one member of a securities exchange.

    (4) Additional information requirements for applicants for a licence to act as investments advisers and asset managers-

    (a)    An applicant for a licence that proposes to be an investment adviser or asset manager shall inform the Regulatory Authority of the nature and scope of advice that is to be given or the assets that are to be managed, as the case may be. The information shall include—

        (i)    the categories of investment (whether collective investment undertakings or direct investment),

        (ii)    the asset classes (whether bonds, equities, derivatives, commodities or other asset classes),

        (iii)    the geographic scope (whether the securities institution shall be confined to investments in Botswana or in other countries and if the latter which countries),

        (iv)    the types of mandate (discretionary or non-discretionary), and

        (v)    the potential clients.

    (b)    The applicant shall also provide information on the terms by which the nature and scope of the advice shall be disclosed.

2. Information to accompany a licence renewal application

    (1) Updated business plan which shall include-

    (a)    list of controllers;

    (b)    shareholding structure and group structure if any;

    (c)    organisational structure; and

    (d)    latest audited financial statements.

    (2) Particulars of Board and Board Committees.

    (3) Updated internal control procedures which shall include-

    (a)    the manual and/or other policies setting out the procedures for the conduct of business and day-to-day operations;

PART I
Preliminary

1.    Citation

    These Regulations may be cited as the Securities (Persons Operating a Securities Infrastructure Business) Regulations.

2.    Interpretation

    In these Regulations, unless the context otherwise requires—

    “key person” means Chief Executive Officer, Director, Chief Financial Officer, company secretary, compliance officer, internal auditor, and any other person fulfilling a similar function but with a different name, and the term “key personnel” shall be construed accordingly; and

    “settlement operator” means a person operating a central securities depository, other clearance and settlement system, or a central counterparty.

3.    Application

    These Regulations shall apply to a—

    (a)    person who wishes to operate a securities infrastructure business and who seeks to apply to the Regulatory Authority for a licence under section 3 of the Act; and

    (b)    securities business infrastructure whose place of business is in Botswana.

PART II
Requirements for application for licence

4.    Application for licence

    (1) A person shall not operate a securities infrastructure business unless that person has been issued with a licence in accordance with section 3 of the Act.

    (2) A person who wishes to apply for a licence to operate a securities infrastructure business shall make an application to the Regulatory Authority in Form 1 set out in Schedule 1.

    (3) An applicant referred to in subregulation (2) may apply to be an operator of more than one category of securities infrastructure business and shall indicate on the application form, the category or categories of the securities infrastructure business the applicant wishes to operate.

    (4) Notwithstanding subregulation (3), the Regulatory Authority shall grant a single licence to an applicant and shall provide in the licence, the category or categories of the securities infrastructure business that the applicant is licensed to operate.

    (5) An application for a licence shall be accompanied by a non-refundable fee set out in Schedule 5, and where the application is for more than one category of securities infrastructure business, the applicant shall pay an application fee for each category of securities infrastructure business.

    (6) An applicant shall, in addition to an application for a licence and a non-refundable fee, submit to the Regulatory Authority the—

    (a)    additional information specified in Schedule 2; and

    (b)    questionnaire set out in Schedule 3 for each of the key persons and controllers of a securities infrastructure business, which shall be signed and dated by the person who is its subject.

    (7) Where a questionnaire has been submitted to the Regulatory Authority prior to the submission of an application for a licence, the applicant may submit a copy of the questionnaire to the Regulatory Authority, giving details of any changes to the information contained in the questionnaire, including a declaration by such applicant and the person to whom the questionnaire relates that—

    (a)    the changes indicated, if any, are accurate; and

    (b)    in all other respects, the information in the questionnaire remains true and is not misleading.

    (8) If after submitting an application, an applicant becomes aware of a material change in any of the information submitted with the application, or any material event that may affect such application, the applicant shall notify the Regulatory Authority of the changes or the event, irrespective of whether the Regulatory Authority has considered the application or not.

    (9) An applicant may, after submitting an application, withdraw the application at any time.

5.    Licence criteria

    (1) The Regulatory Authority shall, where an applicant and the applicant’s key person and controller satisfy the requirements specified in subregulation (2), grant the applicant with a licence in accordance with section 4 of the Act.

    (2) An applicant shall, before the applicant is granted a licence in accordance with section 4 of the Act, satisfy the Regulatory Authority that—

    (a)    the securities infrastructure business to be established by the applicant has the ability to contribute to the development of the financial market and the protection of the interests of the investor and the public;

    (b)    the corporate governance of the applicant is in compliance with the Non-Bank Financial Institutions Regulatory Authority (Securities Business Corporate Governance) Rules;

    (c)    the applicant has the capacity and the intention to comply with any—

        (i)    condition of a licence that applies to such applicant, and

        (ii)    other requirement imposed under the Act, these Regulations, rules or other applicable financial services law;

    (d)    the skills and experience available to the applicant are sufficient for the category or categories such applicant proposes to undertake;

    (e)    the financial resources of the applicant are sufficient for the category or categories for which such applicant is seeking a licence as specified in Non-Bank Financial Institutions Regulatory Authority (Financial Resource Requirement) Rules:

            Provided that where such applicant wishes to undertake more than one category of securities infrastructure business, the financial resources required shall be the total sum specified in the Non-Bank Financial Institutions Regulatory Authority (Financial Resource Requirement) Rules for each of the category, or such other amount as the Regulatory Authority may require;

    (f)    the applicant has the appropriate technology resources required under regulation 16;

    (g)    the applicant meets the requirements on conduct of a person operating a securities infrastructure business in accordance with regulation 18;

    (h)    where the applicant seeks to operate a—

        (i)    securities exchange, such applicant meets the requirements under Part IV, or

        (ii)    central securities depository or clearance and settlement system, such applicant meets the requirements under Part V;

    (i)    the business plan submitted by the applicant demonstrates that such applicant has the ability to conduct business in compliance with the requirements under these Regulations, without being a risk to the stability of the capital market;

    (j)    the applicant has not, at any time or in any jurisdiction—

        (i)    been subject to any insolvency or liquidation proceedings,

        (ii)    made any arrangement with any creditor,

        (iii)    been the subject of a compulsory winding-up of a securities institution,

        (iv)    engaged in any other conduct, and

        (v)    entered into any other agreement,

that might compromise such applicant’s ability to maintain the financial resource requirements applicable to the applicant;

    (k)    the applicant has not, at any time, been found guilty of misconduct or unprofessional conduct or other conduct that may compromise such applicant’s integrity as an applicant, by a competent tribunal, board or body legally constituted within or outside Botswana, for the purpose of adjudicating on matters of discipline and conduct;

    (l)    there are no factors that might compromise the—

        (i)    integrity, financial standing or professional skills of the applicant or such applicant’s key person or controllers,

        (ii)    sustainability of the financial position of the applicant and its likely impact on the stability of the financial system, or

        (iii)    capacity of the applicant to meet requirements under these Regulations and the obligations to which such applicant may be subject to in Botswana or elsewhere, whether imposed by statute or other lawful means; and

    (m)    there are no factors that might impede the Regulatory Authority’s effective oversight of the securities infrastructure business.

    (3) An applicant shall, in respect of each of the applicant’s key person, satisfy the Regulatory Authority that the key person has the skills and experience appropriate to such key person’s position as set out in Schedule 5.

    (4) In respect of an applicant’s key person and a controller, the applicant shall, before the applicant is granted a licence, satisfy the Regulatory Authority that such key person or controller, as the case may be, has—

    (a)    not been convicted of a criminal offence involving dishonesty;

    (b)    not been found guilty of misconduct or unprofessional conduct or other conduct that may compromise his or her integrity as a key person or controller, by a competent tribunal, board or body legally constituted within or outside Botswana, for the purpose of adjudicating on matters of discipline and conduct;

    (c)    not, at any time, being a holder of a professional qualification, been suspended or barred from practising the profession, trade or skill within or outside Botswana;

    (d)    not been removed from any office of trust on account of misconduct, by any court within or outside Botswana;

    (e)    not been the subject of termination of employment by an employer, or of resignation from a position, in circumstances where there would likely have been an alternative sanction such as dismissal;

    (f)    not, at any time, been subject to bankruptcy proceedings or made other arrangements with creditors or any other person of a nature that might compromise the financial resources of the applicant and their ability to maintain a sound financial position;

    (g)    not been involved, as a director or controller, or in any capacity with significant influence over the management of an entity, of any such entity whether a company, partnership or any other legal form, that has been the subject of any investigations referred to in subregulation (2) (k), unless the Regulatory Authority is satisfied that the circumstances are such that they do not compromise their financial resources; and

    (h)    no other factors that might compromise the integrity, competence or financial resources of the applicant.

    (5) Where an applicant for a licence to operate as a settlement operator has not obtained a Certificate of Recognition as required by regulation 26—

    (a)    the applicant shall submit a copy of its application for a Certificate of Recognition, if any, to the Regulatory Authority; and

    (b)    the licence, if granted, shall contain a condition stipulating that the Regulatory Authority shall cancel the licence if the application for a Certificate of Recognition is not successful.

6.    Additional applications for key persons

    (1) A person who operates a securities infrastructure business shall not appoint a key person for the operation of the securities infrastructure without the approval of the Regulatory Authority.

    (2) A person who operates a securities infrastructure business, who wishes to appoint a key person shall make an application in Form 2 set out in Schedule 1.

    (3) An application in accordance with subregulation (2) shall be accompanied by a questionnaire set out in Schedule 3 which shall be completed, signed and dated by the person appointed as the key person.

    (4) The Regulatory Authority shall, if it is satisfied that a key person meets the requirements under these Regulations, give approval for a person to be appointed as a key person by an applicant.

    (5) Where a person who operates a securities infrastructure business appoints a key person without the approval of the Regulatory Authority, the Regulatory Authority may impose a penalty not exceeding—

    (a)    P50 000 against the securities infrastructure business; or

    (b)    P10 000 against the person appointed as the controller, and may direct the securities infrastructure business to dismiss the key person.

    (6) Where an application referred to in subregulation (2) is for the appointment of a new key person, such application shall be accompanied by a fee set out in Schedule 6.

7.    Additional applications for controllers

    (1) A person who operates a securities business infrastructure shall not appoint a controller for the operation of the securities business infrastructure without the approval of the Regulatory Authority.

    (2) A person who operates a securities infrastructure business, who wishes to appoint a controller shall make an application in Form 2 set out in Schedule 1.

    (3) An application made in accordance with subregulation (2) shall be accompanied by a questionnaire set out in Schedule 3 which be signed and dated by the person appointed as the controller.

    (4) Where an application referred to in subregulation (2) is for the appointment of a new controller, such application shall be accompanied by a fee set out in Schedule 6.

    (5) The Regulatory Authority shall, if it is satisfied that a controller meets the requirements set out in these Regulations, give approval for a person to be appointed as a controller.

    (6) Where a person who operates a securities infrastructure business appoints a controller without the approval of the Regulatory Authority, the Regulatory Authority may impose a penalty not exceeding—

    (a)    P50 000 against the securities infrastructure business; or

    (b)    P10 000 against the person appointed as the controller and may direct such person to ensure that he or she immediately disposes of his or her interest in the securities infrastructure business.

8.    Application to be self-regulatory organisation

    (1) A person who operates a securities infrastructure business who wishes to obtain a declaration that the securities infrastructure business shall be a self-regulatory organisation, shall—

    (a)    make such declaration on the application for a licence in Form 1 set out in Schedule 1;

    (b)    provide an overview of the responsibilities the securities infrastructure business he or she wishes to undertake;

    (c)    indicate how its rules, if any, shall be enforced;

    (d)    indicate whether its rules, if any, are consistent with its responsibilities under these Regulations; and

    (e)    enter into an agreement with the Regulatory Authority that shall be reviewed annually.

    (2) A declaration made in accordance with subregulation (1)(a) shall be accompanied by a non-refundable fee set out in Schedule 6.

    (3) If after submitting an application with a declaration referred to in subregulation (1), an applicant becomes aware of a material change in any of the information supplied in relation to the declaration, or any material event that may affect such declaration, the applicant shall inform the Regulatory Authority of the change, irrespective of whether the Regulatory Authority has considered the application or not.

    (4) The Regulatory Authority shall, after considering an application, recommend the approval of the application to the Minister and in doing so the Regulatory Authority shall consider whether the applicant has the capacity and intention to—

    (a)    incorporate in the rules of the securities infrastructure business, the obligations for which such applicant is responsible;

    (b)    enforce the requirements for which such applicant is responsible;

    (c)    enter into an arrangement and co-operate with the Regulatory Authority in implementing the regulatory regime for which it is responsible; and

    (d)    accept the oversight of the Regulatory Authority over the self-regulatory organisation responsibilities.

9.    Processing of applications

    (1) The Regulatory Authority may, after receipt of an application for a licence to operate a securities infrastructure business, require additional information from the applicant, key person or controller.

    (2) Where the Regulatory Authority has required additional information in accordance with subregulation (1), the applicant, key person or controller shall provide such information within 14 days.

    (3) The Regulatory Authority may, where additional information is not supplied in accordance with subregulation (1), decline to process the application.

    (4) The Regulatory Authority shall, where an applicant does not meet the requirements to operate as a securities infrastructure business or to be recommended to the Minister to be declared a self-regulatory organisation—

    (a)    inform the applicant of its decision and the reasons for that decision, in writing and give its opinion and reasons;

    (b)    allow the applicant to make representations within a period of 30 days after being informed of the Regulatory Authority’s decision in accordance with paragraph (a); and

    (c)    consider any representations that may be made and either—

        (i)    confirm its decision to reject the application, or refuse to recommend the applicant to be declared a self-regulatory organisation to the Minister, as the case may be,

        (ii)    approve the application, or

        (iii)    request further information from the applicant.

    (5) Where the Regulatory Authority intends to recommend to the Minister to declare that a securities infrastructure business should be declared a self-regulatory organisation, the Regulatory Authority shall, in accordance with the Non-Bank Financial Institutions Regulatory Authority Act (Cap. 46:08), enter into an arrangement with the securities infrastructure business for the performance by such securities infrastructure business, of regulatory or supervisory functions.

    (6) After entering into the arrangement referred to in subregulation (5) has been concluded, the Regulatory Authority shall forward its recommendation that the securities infrastructure business should be declared a self-regulatory organisation to the Minister.

    (7) Where the Regulatory Authority intends to approve a licence application with conditions, it shall—

    (a)    inform the applicant of its decision and give reasons;

    (b)    give the applicant 30 days notice within which such applicant shall make its representations to the Regulatory Authority; and

    (c)    consider any representations that may be made and either—

        (i)    confirm its decision to impose conditions,

        (ii)    approve the application without conditions, and subregulation (8) shall apply,

        (iii)    reject the application, and subregulation (4) shall apply, or

        (iv)    request further information from the applicant.

    (8) Where the Regulatory Authority intends to approve a licence application without conditions—

    (a)    it shall inform the applicant of its intention; and

    (b)    the applicant shall, in accordance with regulation 14(2), pay the first supervisory levy.

    (9) The Regulatory Authority shall, after the applicant has paid the first annual supervisory levy in accordance with subregulation (8)(b), approve the application and inform such applicant of the date the approval shall take effect.

    (10) Where the Regulatory Authority approves a licence application with conditions—

    (a)    it shall give written notice to the applicant of the approval;

    (b)    the approval of such application shall take effect from a date specified by the Regulatory Authority; and

    (c)    the applicant shall, in accordance with regulation 14(2), pay the first supervisory levy.

10.    Duration of licence

    (1) A licence issued under the Act shall, unless previously renewed or revoked, expire at the end of three years from the date of issue.

    (2) Notwithstanding subregulation (1), a licensee shall pay an annual sustaining fee set out in Schedule 6, at least 30 days before the lapse of every 12 months of the duration of the licence referred to in subregulation (1).

11.    Revocation of licence

    The Regulatory Authority may revoke a licence, recommend that the Minister revokes a self-regulatory organisation declaration or exercise its powers under any other financial services law to revoke a licence, where—

    (a)    the licensee so requests;

    (b)    it has been ascertained that any information given to the Regulatory Authority by the licensee, its key person or controller, for the purpose of obtaining the licence, was false at the time when the information was given;

    (c)    the licensee has, without reasonable excuse, failed to comply with a term or condition of the licence or requirement under these Regulations;

    (d)    the licensee has been convicted of an offence under the Act or any other financial services law; or

    (e)    the Regulatory Authority has reasonable grounds to believe that either the licensee, its key person or controller, is not a fit and proper person to continue with the business.

12.    Renewal of licence

    (1) An application for the renewal of a licence shall be made to the Regulatory Authority by the licensee in Form 1 or 2 set out in Schedule 1 and such application shall be accompanied by a fee set out in Schedule 6.

    (2) An application referred to in subregulation (1) shall be made six months prior to the date of the expiry of the licence.

    (3) Where an application for renewal is made after a period not exceeding six months after the expiry of the licence, the Regulatory Authority may renew such licence subject to the payment of a fee for the late renewal of licence set out in Schedule 6.

    (4) An application for the renewal of a licence that expired 12 months or more prior to the application for renewal shall be—

    (a)    treated as an application for a new licence and the provisions of regulations 5, 6, 7, 8, 9 and 10 shall apply; and

    (b)    accompanied by a penalty for failure to renew of P2 500 for every day during which such failure continues, but such penalty shall not exceed P50 000.

13.    Conditions of licence

    (1) A licence issued under the Act shall not be transferable.

    (2) A licensee shall undertake the securities infrastructure business specified in the conditions of a licence.

Obligations of persons operating securities infrastructure business

14.    Supervisory levy

    (1) A person who operates a securities infrastructure business levy shall pay a supervisory levy to the Regulatory Authority in accordance with the Non-Bank Financial Institutions Regulatory Authority Act.

    (2) The first supervisory levy shall be payable when the Regulatory Authority has indicated its intention to approve a licence application.

    (3) Where the Regulatory Authority indicates its intention to approve a licence application on a date other than the 1st April of every year, the first supervisory levy shall be reduced by one twelfth for every month that passes after 1st April.

15.    Minimum financial requirements

    (1) A person who operates a securities infrastructure business shall ensure that the business maintains the minimum financial requirements specified in the Non-Bank Financial Institutions Regulatory Authority (Financial Resources Requirements) Rules, or such other amount as the Regulatory Authority may specify.

    (2) Notwithstanding subregulation (1), the Regulatory Authority may increase the minimum financial requirements as it may deem necessary depending on the risk profile of the securities infrastructure business.

    (3) Notwithstanding the minimum financial requirements that the Regulatory Authority may impose under this regulation, a person operating a securities infrastructure business shall ensure that such business has the additional financial resources as are necessary having regard to the nature, size and complexity of its business for the purposes of guarding against the risk of failure to fulfil the business’ liabilities as they fall due.

16.    Technological resources

    (1) A person who operates a securities infrastructure business shall ensure that the business has the necessary technological resources to conduct such a business.

    (2) For purposes of subregulation (1) the resources shall be—

    (a)    used for the maintenance of records and the operation of the securities infrastructure business;

    (b)    reliable;

    (c)    regularly evaluated to ensure that they are operating as intended;

    (d)    maintained to an appropriate standard, with appropriate safeguards against failure;

    (e)    maintained by the skilled personnel; and

    (f)    secure, in order to protect the confidentiality of the data contained in the resources.

17.    Accounts and audit

    (1) A person operating a securities infrastructure business shall keep and maintain proper books of accounts and records of accounts in respect of every financial year relating to the assets, liabilities, income and expenditure of the business, and shall prepare in each financial year, a statement of such accounts.

    (2) The accounts of the securities infrastructure business in respect of each financial year shall, within three months of the end thereof, be audited by an independent auditor appointed by the person who operates a securities infrastructure business.

    (3) A person operating the securities infrastructure business shall not appoint an independent auditor under this regulation without the approval of the Regulatory Authority.

    (4) Where a person operating a securities infrastructure business stops an auditor from executing his or her duties as such, the business and the auditor shall inform the Regulatory Authority and the Regulatory Authority may request for an explanation, if any, from such business and the auditor.

    (5) In default of the appointment of an independent auditor under subregulation (2), the Regulatory Authority shall appoint an independent auditor.

    (6) An independent auditor appointed under subregulation (2) shall report in respect of the accounts for each financial year, in addition to any other matter on which the auditor considers it necessary to comment on, whether or not the—

    (a)    auditor has received all information and explanations which, to the best of the auditor’s knowledge and belief, were necessary for the performance of the auditor’s duties;

    (b)    accounts and related records of the securities infrastructure business have been properly kept;

    (c)    securities infrastructure business has complied with all the financial provisions of these Regulations with which it is its duty to comply; and

    (d)    statement of accounts prepared by the securities infrastructure business was prepared on the basis consistent with that of the preceding year and represents a true and fair view of the transactions and financial affairs of such business.

    (7) The report of the auditor and a copy of the audited accounts shall, within 14 days of the completion thereof, be forwarded to the securities infrastructure business and the Regulatory Authority.

    (8) A person operating a securities infrastructure business shall, as soon as possible but not later than 90 days after receipt of the annual report, publish in a local newspaper, such report which shall include such business’ audited financial statements and the audit report for a every financial year to which the statements relate.

18.    Conduct of person operating securities infrastructure business

    (1) A person who operates a securities infrastructure business shall—

    (a)    act with integrity;

    (b)    exercise due care, skill and diligence in maintaining the integrity of the market;

    (c)    observe high standards of conduct;

    (d)    treat all similarly situated market participants consistently and fairly; and

    (e)    perform a duty of care to any person who uses the facilities of the securities infrastructure business either directly or through other securities institutions.

    (2) A person who operates a securities infrastructure business shall not conduct any business, other than that permitted by the licence, without the permission of the Regulatory Authority.

    (3) A person operating a securities infrastructure business shall include in its assessment of a risk associated with the operation of the business, any factor that may—

    (a)    inhibit the fair, transparent, orderly and efficient functioning of the markets;

    (b)    adversely affect the interests of market users; or

    (c)    arise from conflicts of interest, and shall implement measures and procedures designed to mitigate the risk.

    (4) Without derogating from the generality of subregulation (3), the measures and procedures that the person may use to mitigate the risk associated with the operation of a securities infrastructure business shall include—

    (a)    a surveillance programme with respect to a participant’s or issuer’s compliance with the rules of the business, including any rules imposed by such business where the business is declared a self-regulatory organisation, and shall include—

        (i)    a risk assessment of each participant subject to such rules, which shall be submitted to the Regulatory Authority,

        (ii)    a requirement from a member or participant to make a financial report, operations report and any other report to the person operating the securities infrastructure business, which reports shall, where possible, be in accordance with the requirements of the Regulatory Authority,

        (iii)    an on-site inspection programme based on a risk assessment, accompanied by the appropriate report and action plan, which shall be disclosed to the Regulatory Authority as the Regulatory Authority may require,

        (iv)    a facility to initiate an investigation where there is suspicion of a breach of the rules by the participant or issuer,

        (v)    the procedure to be followed for imposing sanctions, where appropriate, subject to section 32 of the Act, and

        (vi)    an annual review of compliance with its rules; and

    (b)    a formal agreement with any other person who operates a securities infrastructure business, in order to provide for the appropriate co-operation.

    (5) Where a person operating a securities infrastructure business creates a structure that, in the opinion of the Regulatory Authority, creates a risk to such business, the Regulatory Authority may require the person to take measures to mitigate that risk.

    (6) A person operating a securities infrastructure business shall ensure that, where its facilities provide for the safeguarding and administration of assets which belong to the market participants—

    (a)    satisfactory arrangements are made for that purpose;

    (b)    clear terms of an agreement exist between the market participants and the securities infrastructure business; and

    (c)    the assets of the participants are clearly separated from those of the securities infrastructure business.

    (7) A person who operates a securities infrastructure business shall ensure that the—

    (a)    rules of the business are accessible to the public; and

    (b)    fees set by the business are published in a local newspaper.

    (8) Where a person operating a securities infrastructure business permits access to its facilities by a participant of another country, that person shall—

    (a)    require the participant to be licensed or approved by the Regulatory Authority by concluding a memorandum of understanding with the regulatory authority of such participant, who is responsible for the regulation of the activity the participant proposes to conduct with the business;

    (b)    commission, or where it is available, consult an updated analysis of any material differences between the legislation on market abuse to which the participant is subject in its country and that which applies in Botswana, and where necessary, refuse to accept a participant from a country that do not have adequate legislation that prohibits market abuse;

    (c)    require the participant to arrange for a bank based in Botswana, subject to supervision by the Bank of Botswana, to guarantee any financial obligations of the participant;

    (d)    restrict membership or participation in the business to an entity of another country that is licensed by the regulatory authority of that country to conduct the business it proposes to conduct with the securities infrastructure business; and

    (e)    conclude an agreement with the regulatory authority of the participant that—

        (i)    gives such person operating the securities infrastructure business the right to make on-site inspections of such participant, and

        (ii)    includes the responsibility to inspect, investigate and impose sanctions in order to monitor and enforce the applicable rules.

19.    Rules of securities infrastructure business

    (1) A person who operates a securities infrastructure business shall ensure that the business has clear and fair rules that—

    (a)    are consistent with such a business;

    (b)    encompass any regulatory responsibility that the business has as a self-regulatory organisation;

    (c)    operate as a contract between any member or participant and such business;

    (d)    permit the business, where it is a self-regulatory organisation, to issue directives within the framework of these Regulations where such directives are necessary to meet the obligations of such business;

    (e)    are legally enforceable; and

    (f)    are published and made available to the public.

    (2) Where the rules are binding on, or intended to guide a member or participant, a person operating a securities infrastructure business shall adopt a procedure for consulting any market user when adopting rules for trading, clearing, settlement or any other matter.

    (3) A person who operates a securities infrastructure business shall, with the approval of the Regulatory Authority in writing—

    (a)    make rules for the business; and

    (b)    amend or vary any rule of the business.

    (4) The Regulatory Authority may—

    (a)    determine the scope of the rules; and

    (b)    direct the person operating the securities infrastructure business to make such changes to its rules as the Regulatory Authority may specify.

    (5) The rules made in accordance with subregulation (3)(a) shall include rules for a member or participant that shall—

    (a)    allow access to the business by any licensed intermediary that has the skills, financial resources and operational capacity to conduct business with the securities infrastructure business without prejudicing the stability of the technology used by such business;

    (b)    allow any new member or participant to be granted access on a fair and equitable basis, and to refuse access by the new member or participant who fails to meet the set criteria;

    (c)    treat the member or participant and any potential member or participant fairly and consistently;

    (d)    provide for the management of any conflict of interest;

    (e)    provide for fees to be paid by the member or participant;

    (f)    provide for inspections and investigations of the member or participant and the imposition of sanctions for any breach of the rules;

    (g)    provide for powers for the person operating the securities infrastructure business to exercise its role as a self-regulatory organisation, where the business is registered as such, to monitor the conduct of the member or participant through mandatory reporting, on-site inspection and any other means;

    (h)    require a member or participant to adhere to the rules and directives of the securities infrastructure business and any decision that may be made in accordance with the rules; and

    (i)    include the objectives and procedures for the suspension and removal of a member or participant that no longer meets the criteria, from the membership or participation in the business, and such objectives and procedures shall include the—

        (i)    manner of communication of reasons for the suspension or removal of the member or participant, and

        (ii)    procedures for the review of the business’ decision as provided under section 32 of the Act, where the member or participant is aggrieved by such decision.

    (6) A person who operates a securities infrastructure business shall—

    (a)    treat an applicant, for membership and participation in a securities infrastructure business under the Botswana Stock Exchange Member Rules approved by the Authority, fairly and consistently;

    (b)    provide an opportunity for representations if the applicant for membership or participation in the securities infrastructure business does not meet the criteria for such membership or participation set out in the Botswana Stock Exchange Member Rules approved by the Authority;

    (c)    allow the applicant, for membership or participation in the securities infrastructure business under the Botswana Stock Exchange Member Rules approved by the Regulatory Authority, to have the decision of the business reviewed by the Regulatory Authority if such applicant is not satisfied with such decision; and

    (d)    implement an appropriate mechanism for resolving disputes between a member or participant and any person who may wish to use the services of the business.

    (7) Where a person who operates a securities infrastructure business wishes to vary or amend the rules in terms of subregulation (3)(b), such person shall consult any person affected by such variation or amendment.

    (8) A person who operates a securities infrastructure business may make provision for any of its rules to be waived where necessary and such waiver shall be—

    (a)    determined by that person;

    (b)    approved by the Regulatory Authority; and

    (c)    published in a local newspaper, along with any criteria that has to be met by any person affected.

    (9) The Regulatory Authority shall, after consultation with the person who operates the securities infrastructure business, override a decision of that person where it considers it right to do so:

    Provided that the Regulatory Authority—

    (a)    publishes its decision in a local newspaper; and

    (b)    gives its reasons for so doing.

20.    Complaints

    (1) A person who operates a securities infrastructure business shall ensure that the business has a procedure to be used by any member or participant where such member or participant has a complaint.

    (2) The procedure referred to under subregulation (1) shall include the—

    (a)    allocation of the responsibility to handle a complaint to a person who does not have an interest in the complaint;

    (b)    period within which a complaint shall be dealt with;

    (c)    period within which a complainant shall be informed of the progress made on the complaint, and such period shall not be more than three months; and

    (d)    manner of review of any decision regarding a complaint in accordance with section 32 of the Act.

    (3) Where a complaint is with regards to a member or participant of the securities infrastructure business, the person who operates the business shall inform the member or participant concerned and shall—

    (a)    determine whether it concerns a matter of conduct within the responsibility of that person or of the Regulatory Authority;

    (b)    where the complaint is within the Regulatory Authority’s responsibility, refer the complaint to the Regulatory Authority and inform the complainant; and

    (c)    where it is within the responsibility of that person, maintain oversight of the complaint until it is resolved.

    (4) In the case where the complaint is with regards to the securities infrastructure business, the person operating the business shall—

    (a)    deal with such complaint in a fair and timely manner; and

    (b)    inform the complainant of the outcome.

    (5) Depending on the nature of the complaint, the person operating a securities infrastructure business shall—

    (a)    provide the appropriate restitution, where the complaint is justified;

    (b)    address any weaknesses in the internal system of the business that may have led to the complaint; and

    (c)    record any decision that is made regarding the complaint.

    (6) Where the person who operates a securities infrastructure business has failed to resolve a complaint within a given period, that person shall inform the Regulatory Authority.

    (7) A person who operates a securities infrastructure business shall keep and maintain a proper record of complaints and that person shall enter in the record, the—

    (a)    the particulars of the person from whom the complaint was received;

    (b)    the nature of the complaint;

    (c)    the particulars of the person dealing with the complaint;

    (d)    the particulars of the person being complained or who is responsible for the action that led to the complaint;

    (e)    information on whether the complaint was resolved or not;

    (f)    the manner in which the complaint was resolved; and

    (g)    the time it took to resolve the complaint.

    (8) Notwithstanding subregulation (7), a person who operates a securities infrastructure business shall maintain a register containing a summary of all complaints received.

21.    Relations with Regulatory Authority

    (1) A person who operates a securities infrastructure business shall—

    (a)    co-operate with the Regulatory Authority and give the Regulatory Authority such assistance as the Regulatory Authority may require for the performance of its functions; and

    (b)    submit to the Regulatory Authority, reports and notifications as specified in Schedule 4.

    (2) The Regulatory Authority may, after consultation with the person who operates a securities infrastructure business, direct such person to do, or refrain from doing, anything that the Regulatory Authority has reason to believe that if done, or omitted to be done, is necessary in the interest of any investor or the capital market.

    (3) A person who operates a securities infrastructure business who fails to comply with the directions of the Regulatory Authority issued in accordance with subregulation (2) commits an offence.

    (4) The Regulatory Authority may require the person who operates a securities infrastructure business or any other person specified by the Regulatory Authority to appoint a qualified person to undertake a study into a matter related to the performance of the business and its regulatory obligations.

    (5) A person under subregulation (4) shall, after the completion of his or her study, compile a report and submit a copy of the report to the Regulatory Authority.

22.    Conflict of interest

    (1) A person who operates a securities infrastructure business, whether the business is part of any financial group or not, shall identify any conflict of interest that—

    (a)    is likely to occur in the course of such business; or

    (b)    may arise as a result of its membership of the financial group, and adopt appropriate measures designed to minimise such conflict.

    (2) A person who operates a securities infrastructure business shall adopt procedures to ensure that such person, a key person, a controller or an employee shall not—

    (a)    take advantage of the status of the business in order to make any material gain for the benefit of that person, the key person, the controller or the employee; and

    (b)    receive any gift or benefit that may alter the decisions of such person, key person, controller or employee, or alter the operation of the business, in a way that would not have occurred if the gift had not been offered.

    (3) A person who operates a securities infrastructure business that issues transferable securities which are traded using facilities operated by the operator of the securities infrastructure business shall abide by the Regulatory Authority’s determination of the appropriate procedures for avoiding conflicts of interest.

    (4) A person who contravenes the provisions of this regulation commits an offence and is liable to a fine not exceeding P30 000 or to a term of imprisonment not exceeding two years, or to both.

23.    Confidentiality

    (1) A person who operates a securities infrastructure business, its key person, controller or employee shall observe and preserve the confidentiality of any information regarding the market users and such confidentiality shall subsist even after the winding-up of the business.

    (2) A person who operates a securities infrastructure business, its key person, controller or employee to whom confidential information is revealed shall not disclose that information to any other person unless—

    (a)    such disclosure is made with the consent of a market user of the business;

    (b)    such information is already in the public domain;

    (c)    such disclosure is made in proceedings under the Act;

    (d)    required to do so in terms of any written law or for purposes of any judicial proceedings; or

    (e)    such disclosure is made to the Regulatory Authority, or to the regulatory authority of another country.

    (3) A person who operates a securities infrastructure business shall, subject to the approval of the Regulatory Authority and in the interests of the relevant market in Botswana or elsewhere, or in the interests of an investor in Botswana or elsewhere, establish rules and procedures to be followed when disclosing information to—

    (a)    any other securities infrastructure business in Botswana;

    (b)    a securities infrastructure business in another country; and

    (c)    a regulatory authority in another country.

    (4) A person who contravenes the provisions of this regulation commits an offence and is liable to a fine not exceeding P30 000 or to a term of imprisonment not exceeding two years, or to both.

PART IV
General provisions relating to persons operating securities exchange

24.    Establishment of proper markets by securities exchange

    (1) A person who operates a securities exchange shall establish and operate a proper market that—

    (a)    is conducive to the economic good;

    (b)    is fair and transparent;

    (c)    is efficient in securing price discovery, allocating capital and transferring risks; and

    (d)    does not cause or promote instability in the markets.

    (2) Without derogating from the generality of regulation 19, a person who operates a securities exchange shall mitigate any risk associated with the operation of the exchange by ensuring that—

    (a)    such exchange has surveillance technology that permits the person who operates the exchange to—

        (i)    monitor the market in real time,

        (ii)    monitor compliance with any trading rule, and

        (iii)    detect trading patterns that might indicate market misconduct, financial crime or money laundering;

    (b)    there is affective use of technology to monitor and analyse trading activities;

    (c)    such person has ability to suspend or halt trading where appropriate or when required to do so by the Regulatory Authority; and

    (d)    there are other mechanisms for dealing with disorderly trading conditions.

    (3) A person who operates a security exchange shall publish such information to the market as may be necessary to ensure transparency and fair treatment of any investor.

    (4) The information referred to in subregulation (3) shall be provided on an equitable basis to every market participant and shall include—

    (a)    the securities exchange rules;

    (b)    the securities exchange order routing and any other procedure;

    (c)    any transaction completed in the trading of the securities exchange; and

    (d)    any other trading information.

    (5) A person who operates a securities exchange shall, where such person—

    (a)    takes responsibility for clearing and settlement, be bound by any law or rule that applies to a settlement operator, including the reporting requirements specified in Schedule 4; or

    (b)    does not take responsibility for clearing and settlement, enter into an agreement with a settlement operator that is permitted under these Regulations.

25.    Rules of securities exchange

    (1) A person who operates a securities exchange that offers trading facilities for transferable securities shall have listing rules that—

    (a)    give such person the power to determine whether or not to accept traded securities for listing, having regard to any relevant factor, including the—

        (i)    issuer of the securities,

        (ii)    form and design of the securities instrument, and

        (iii)    nature of the public offering;

    (b)    describe procedures for the admission of transferable securities to the exchange;

    (c)    set minimum disclosure and other relevant requirements for public offers of transferable securities that will be listed, which may vary according to the nature of the security;

    (d)    where necessary, set minimum reporting and other requirements for issuers, which may vary according to the nature of the security;

    (e)    make provision for such person to—

        (i)    monitor conduct of the issuers through mandatory reporting, and other ways,

        (ii)    appoint investigators to conduct investigations into alleged breaches of the exchange rules,

        (iii)    impose a sanction, if justified, subject to a review of that person’s decision in accordance with section 32 of the Act, and

        (iv)    suspend transferable securities from trading, with the necessary protection of any investor that may be affected by the suspension;

    (f)    make provision for such person to require the removal of a security from the list, with the necessary protection of any investor that may be affected by the removal by consulting the investor and maintaining an orderly market; and

    (g)    make provision for the review by the Regulatory Authority, if an issuer or potential issuer is aggrieved by a decision of such person to refuse to list a transferable security or to suspend or insist on withdrawal of that security.

    (2) A person who operates a securities exchange that trades listed derivatives shall have rules that—

    (a)    state the forms of listed derivatives that may be traded on the exchange;

    (b)    state the obligations of the holders of such securities; and

    (c)    provide for the launching and withdrawal of listed derivatives from the exchange.

    (3) A person who operates a securities exchange that trades listed derivatives shall enter into an exchange contract with the holder of the listed derivatives that is consistent with international standards and shall ensure that the—

    (a)    contract meets the risk management needs of potential users;

    (b)    contract promotes price discovery of the underlying securities;

    (c)    terms and conditions of the contract shall reflect the operation of any relevant underlying cash market that does not hinder delivery;

    (d)    views of potential users of the contract are involved in the drafting of such contract; and

    (e)    information concerning the terms and conditions of the contract, delivery and pricing is readily available to the Regulatory Authority, any other relevant regulatory body and the market users.

    (4) A person who operates a securities exchange shall have trading rules that provide for the—

    (a)    conditions under which securities shall be traded;

    (b)    availability of bids and offers, the price of the bids and offers and the volume of securities being bid and offered to all market users;

    (c)    matching and execution of bids and offers according to fair priority rules;

    (d)    availability of any post trade information, such as the prices and volumes of any completed transaction, to the market in a timely manner;

    (e)    procedure to be used for dealing with any disruption to the market, suspension of trading or any other matter that may inhibit the orderly functioning of such market; and

    (f)    procedures to prohibit any—

        (i)    abusive trading, including insider trading and market manipulation,

        (ii)    false trading activity,

        (iii)    cross trade executed for improper purposes,

        (iv)    trade intended to assist or conceal any potentially identifiable trading abuse, and

        (v)    trade in which one of the parties to the trade does not intend to close or settle.

    (5) A person who operates a securities exchange shall have disciplinary rules for any member or participant who does not fulfil its obligations under these Regulations.

PART V
General provisions relating to settlement operators

26.    Conduct of settlement operator

    (1) A settlement operator shall obtain a Certificate of Recognition from the Bank of Botswana to operate a clearance and settlement system in accordance with the National Clearance and Settlement Systems Act (Cap. 46:06).

    (2) A settlement operator shall ensure that there are procedures for securing the timely discharge of the rights and liabilities of the parties to any transaction conducted on or through its facilities.

    (3) The procedures referred to in subregulation (2) shall include—

    (a)    an arrangement for matching trades in a timely manner, verifying the trades and ensuring that a party to the trades agrees with the trade details and their obligations;

    (b)    in the case of transferable securities, a legally binding arrangement for transferring title to securities;

    (c)    an arrangement for making payments for securities purchased that are secure and, by the end of a settlement period, final; and

    (d)    an arrangement that—

        (i)    ensures that a participant meets its obligations when trading, and

        (ii)    provides that no settlement of any securities purchased or sold by a participant shall be achieved unless every obligation of that participant is met.

    (4) Where the clearance and settlement system encompasses a central securities depository, the settlement operator shall ensure that—

    (a)    there is a legally binding arrangement for the transfer of title to the securities;

    (b)    any payment for transferable securities is made simultaneously with the transfer of title of the transferable security;

    (c)    the central securities depository has sufficient detail of a beneficial owner of dematerialised securities and the intermediaries through which they operate;

    (d)    the central securities depository has an arrangement that ensures that a shareholder has a right to dividends, to vote and any other applicable right;

    (e)    the central securities depository provides a facility for a shareholder to choose in order to change if the shareholder wishes to do so, the intermediary through which they operate; and

    (f)    the central securities depository has a facility that is used to alert a shareholder to trades conducted in the securities they own.

    (5) Where a clearance and settlement system is designed for a market in listed derivatives, the settlement operator shall ensure that—

    (a)    for cash settled securities, payment and collection are done simultaneously;

    (b)    for securities that are settled through physical delivery, payment and delivery are done simultaneously; and

    (c)    the settlement and delivery procedures reflect any relevant underlying cash market and promote price convergence.

    (6) The settlement operator shall have a payment system which shall be—

    (a)    approved by the Bank of Botswana;

    (b)    used by any bank licensed by the Bank of Botswana; or

    (c)    licensed under the National Clearance and Settlement Systems Act.

    (7) A settlement operator shall disclose to a participant, its procedures and the basis for calculating the obligations of the participant.

    (8) A settlement operator shall ensure that there is an effective mechanism for the monitoring of any open market position in order to identify any potential risk when securing a settlement.

    (9) A settlement operator shall have risk management procedures that shall ensure a safe and secure settlement and these shall include—

    (a)    measures for identifying any exposure which may heighten the monitoring of any open market position or credit exposure;

    (b)    mechanisms to make available, to the settlement operator, information on beneficial ownership of an open market position held by a market participant; and

    (c)    measures for dealing with market users who fail to make information available on any open market position.

    (10) A settlement operator shall ensure that funds received from a participant are invested in the appropriate liquid instruments so that they are immediately available to the participant with minimal adverse price effect.

    (11) In the case of a settlement operator who operates a central counterparty, such operator shall have procedures for the novation of a contract to which it becomes a party, and for the assumption and discharging of the obligations of the contract.

    (12) A settlement operator who operates a central counterparty shall have an arrangement to enable such operator to ensure that a participant that has a contract with the counterparty has risk management procedures and financial resources sufficient to enable them to meet their obligations.

    (13) A settlement operator who operates a central counterparty shall—

    (a)    monitor any of its exposure to its counterparties;

    (b)    develop mechanisms for extreme but plausible market conditions and calculate its exposure in the event of default by the largest two clearing participants; and

    (c)    have regard to the calculation referred to in paragraph (b) when assessing the appropriate level of financial resources it should hold.

27.    Clearing and settlement rules

    (1) A settlement operator shall have rules for participation in the market, that—

    (a)    distinguish between a clearing participant that—

        (i)    clears a transaction for that participant only, and

        (ii)    clears a transaction for any other participant; and

    (b)    impose financial resource and operational capacity requirements on any clearing participant.

    (2) A settlement operator shall have rules for the operation of the clearance and settlement system in order to ensure that—

    (a)    a clearing participant that clears a transaction for a third party has procedures for segregating the funds, assets and positions of one client from another, and from its own funds, assets or positions;

    (b)    the settlement operator or any other operator has the capacity to impose appropriate risk management procedures on any participant;

    (c)    the settlement operator has the capacity to impose some or all of the following requirements, with the approval of the Regulatory Authority—

        (i)    the payment of margin calls,

        (ii)    the posting of collateral,

        (iii)    limits on the positions taken by participants for themselves or on behalf of clients, and

        (iv)    contributions to a settlement guarantee fund;

    (d)    the settlement operator or any other operator has the capacity to take appropriate action to reduce the risk of default by requiring a participant to, in a timely manner—

        (i)    reduce any exposure,

        (ii)    increase payment of margin calls,

        (iii)    deposit additional collateral,

        (iv)    co-operate in the transfer of assets or positions of any client to another participant, or

        (v)    take any other necessary action; and

    (e)    the settlement operator has the capacity to deal with any failure of the settlement and clearance system.

    (3) The rules governing the action to be taken in accordance with subregulation (2)(d) shall clarify the—

    (a)    circumstances in which the action shall be taken;

    (b)    person who shall take the action; and

    (c)    nature of the action that shall be taken.

    (4) Where a settlement operator permits access to its market by a participant of another country, that operator shall address the risks that such permission may create, including requiring the participant to arrange for a bank in Botswana, subject to the supervision by the Bank of Botswana, to guarantee any financial obligations of such participant.

PART VI
Offences and penalties

28.    Offences and penalties

    A person who, without reasonable cause, fails to comply with the provisions of these Regulations commits an offence and on conviction is liable to a fine not exceeding P200 000 or to imprisonment for a term not exceeding five years or to both, and in the case of a continuing offence, to a fine of P350 for every day during which such offence continues, but such fine shall not exceed P200 000.

INFORMATION TO BE SUPPLIED WITH AN APPLICATION FOR A LICENCE

    (1) The additional information to be supplied by an applicant for a licence to operate a securities infrastructure business shall be as follows—

    (a)    except for a newly formed securities infrastructure business, an applicant shall supply a copy, certified by the director or partner, as the case may be, of the last balance sheet and of the last profit and loss account, if any, of the business, incorporating the results of its last financial year, which have respectively been audited by a qualified auditor, including any document required by law to be attached, and a certified copy of the report of the auditor thereon;

    (b)    except for a newly formed securities infrastructure business, if the accounts referred to in paragraph (a) are for a period that ends more than six months before the date of application, the applicant, shall supply a copy, certified by a director or partner, as the case may be, of unaudited accounts for a period ending not earlier than six months prior to the date of the application;

    (c)    a business plan containing the names and addresses of the key persons and controllers, and the shareholding structure which shall disclose—

        (i)    the shareholders which shall be participants in the securities infrastructure business,

        (ii)    whether any of the shareholders will have an executive role to oversee the day-to-day operations of the business, and

        (iii)    the incorporation of the controllers and the financial group structure;

    (d)    the financial projections for three years preceding the application for a licence, together with the key assumptions on which the business plan is based;

    (e)    one bank reference from the applicant’s bank, or, if the applicant is yet to establish a bank account, the applicant should supply a bank reference for at least two of the directors;

    (f)     two business references relating to the applicant or, if the applicant is yet to commence the securities infrastructure business, references relating to at least two of the directors;

    (g)    the proposed premises suitably located and equipped or evidence acceptable to the Regulatory Authority that such premises will be available;

    (i)    the proposed independent auditor of the securities infrastructure business;

    (j)    an overview of its proposed corporate governance arrangement, which shall include—

        (i)    the documents of incorporation,

        (ii)    the particulars of the Board and Board Committees, if any, of the securities infrastructure,

        (iii)    the details of any procedures, codes or protocols for the operation of the Board that the Board may have adopted at the time of the application for a licence and an overview of the procedures, codes and protocols that the applicant intends that the Board shall adopt by the time the securities infrastructure business commences its operation,

        (iv)    the details of the management and organisation structure, providing an organisation chart with brief descriptions of the powers and duties of the posts on the organisation chart,

        (v)    the applicant’s assessment of risk associated with the operation of a securities infrastructure business and procedures to mitigate the risk,

        (vi)    the applicant’s proposed internal controls that will be used to mitigate the risk associated with the operation of a securities infrastructure business,

        (vii)    a copy of a manual on procedures designed to implement the internal controls referred to in paragraph (vi),

        (viii)    a summary of the proposed contents of the manual referred to in paragraph (vii), and

        (ix)    an undertaking that the manual referred to in paragraph (vii) will be completed by the time the applicant commences the operation of a securities infrastructure business;

    (k)    the applicant’s proposals for monitoring compliance with the rules of the securities infrastructure business or the SRO, which shall be consistent with regulation 20 and shall include an off-site review of the returns submitted by the participants of the market;

    (l)    a copy of the applicant’s code of conduct for employees, which shall be consistent with these Regulations;

    (m)    where the applicant seeks to use a third party to provide any service in the operation of a securities infrastructure business for which it will be responsible, the applicant shall provide the particulars of the third party and a copy of the contract with such third party and, where necessary, the service level agreement;

    (n)    a copy of the criteria for participation in the securities infrastructure business;

    (o)    a copy of the rules to which the participants of the securities infrastructure business shall be subject to and the procedures for making amendments to those rules;

    (p)    a list of proposed participants; and

    (q)    an enclosed application.

    (2) The additional information required from an applicant who seeks to operate a securities exchange shall be as follows—

    (a)    a list of transferable securities and listed derivatives and other instruments it proposes to list on the exchange;

    (b)    details of the operating procedures, controls and trading system of the exchange and an explanation as to how this will enable the exchange to satisfy the requirement that a market be established in accordance with regulation 24 and the maintenance of the integrity of the market; and

    (c)    details of the clearing and settlement system the applicant proposes to use which shall meet the requirements of Part V.

    (3) The additional information required from an applicant who seeks to be a settlement operator shall be as follows—

    (a)    where the applicant does not have a Certificate of Recognition in accordance with regulation 26, such applicant shall submit a copy of its application for the Certificate;

    (b)    details of the applicant’s operating procedures, controls and clearance and settlement system which shall meet the requirements of regulation 26; and

    (c)    a copy of a legal opinion stating that its arrangements for transferring title to securities are legally valid.

    (4) The additional information required from an applicant who seeks to be a settlement operator that encompasses a central counterparty shall be as follows—

    (a)    a copy of the applicant’s operating procedures, controls and systems which shall meet the requirements of regulation 26(10), (11), (12) and (13); and

    (b)    a copy of its assessment of its exposure in the event of its scenario testing and the financial resources it considers necessary in the light of that calculation.

REPORTING REQUIREMENTS

1.    Annual reporting by all securities infrastructure businesses

    (a)    A person operating a securities infrastructure business shall inform the Regulatory Authority of the financial year that it adopts for its annual accounts and shall only change that financial year with the approval of the Regulatory Authority.

    (b)    A person operating a securities infrastructure business shall provide the Regulatory Authority, annually, with an updated list of its key persons or controllers, its address, and a list of its participants.

    (c)    A person operating a securities infrastructure business shall provide the Regulatory Authority with an updated list of employees and their qualifications and experience in the case where they are occupying positions where such qualifications or experience are specified.

    (d)    A person operating a securities infrastructure business shall provide the Regulatory Authority with a report on the key decisions the governing body of the business has made in accordance with the Non-Bank Financial Institutions (Corporate Governance) Rules.

    (e)    A person operating a securities infrastructure business shall provide the Regulatory Authority with details of applications for participation received during the financial year, showing the outcome of each application and the reasons for any decision taken by the business.

    (f)    A person operating a securities infrastructure business shall provide the Regulatory Authority with a consolidated report, providing an overview of the quarterly reports on—

        (i)    the performance of the business,

        (ii)    complaints, and

        (iii)    compliance by participants with their obligations.

    (g)    A person operating a securities infrastructure business shall submit a report on the outcomes of the governing body of the business’ evaluations, as required by the Non-Bank Financial Institutions (Corporate Governance) Rules, of its—

        (i)    risk assessment,

        (ii)    review of internal controls,

        (iii)    review of the performance of any third party suppliers,

        (iv)    review of its compliance with regulatory obligations, and

        (v)    review of its business plan.

2.    Quarterly reporting by all securities infrastructure businesses

    A person operating a securities infrastructure business shall, no later than one month after the end of each quarter of its financial year, submit to the Regulatory Authority—

        (i)    the number of complaints received by the securities infrastructure business about itself or its participants during the specified period and the number that have been outstanding for more than three months,

        (ii)    an overview of the compliance by participants with the rules of the securities infrastructure business, including, the number of on-site inspections, the number of investigations, and the number and nature of any sanctions imposed by the person operating the securities infrastructure business,

        (iii)    any changes to the information given by the person operating the securities infrastructure business in respect of its name, address, key personnel, nature of business, and

        (iv)    any material change in other information that would reasonably be regarded as relevant to a determination of the continuing fitness and properness of the person operating the securities infrastructure business.

3.    Advance notification by all securities infrastructure businesses

    (a)    A person operating a securities infrastructure business shall provide the Regulatory Authority with four weeks advance written notification of the following matters—

        (i)    any change in the name or address,

        (ii)    any changes to its rules,

        (iii)    any new appointments of the key persons or new controllers,

        (iv)    any change to the external auditor,

        (v)    any decision to seek a licence from another regulatory authority in Botswana or abroad,

        (vi)    a substantial change to its capital structure,

        (vii)    any change to its premises and any new premises it may acquire,

        (viii)    any other material change in the information supplied in its application, or

        (ix)    a decision to seek termination or revocation of its licence.

    (b)    The advance notification shall be accompanied by an application for permission to make the change if required by these Regulations.

    (c)    If a person operating a securities infrastructure business becomes aware that the person has failed to give advance notification in respect of any matter specified in these Regulations, the person shall give immediate notice of the matter to the Regulatory Authority, together with an explanation of the circumstances that resulted in a failure to provide the prescribed advance notice.

4.    Immediate notification by all securities infrastructure businesses

    (a)    A person operating a securities infrastructure business shall inform the Regulatory Authority immediately should any of the following events occur—

        (i)    any event which could reasonably be expected to affect the Regulatory Authority’s assessment of the on-going fitness and properness of the person, its controllers, or key personnel,

        (ii)    any serious failure of the systems of the securities infrastructure business,

        (iii)    any event that may interfere with the ability of the securities infrastructure business to carry out its responsibility to enforce its rules,

        (iv)    a material failure by the person operating the securities infrastructure business to meet its responsibilities including its regulatory requirements and any material change in any of the information provided to support the initial application that might reasonably be expected to affect investors’ interests or the Regulatory Authority’s assessment of the on-going fitness and properness of the securities infrastructure business, its controllers, or key person,

        (v)    a reduction in financial resource requirements below 120 percent of the minimum specified in these Regulations or a reduction of 50 percent since the previous report to the Regulatory Authority,

        (vi)    any concern by the person operating the securities infrastructure business that it may not be able to meet obligations as they fall due,

        (vii)    any inability to comply with any instruction or direction of the Regulatory Authority imposed in accordance with the Act, Regulations or Rules,

        (viii)    any mis-statement or error in any return or application previously submitted to the Regulatory Authority of which the person operating the securities infrastructure business becomes aware,

        (ix)    any fraud on the securities infrastructure business or its participants by any person,

        (x)    any disciplinary action against any of the key personnel of the securities infrastructure business,

        (xi)    any investigation, finding or conviction relating to the securities infrastructure business, any of its controllers, or any of its key persons by a law enforcement regulatory authority or professional association,

        (xii)    any regulatory finding that may reasonably be expected to affect the Regulatory Authority’s assessment of the continuing fitness and properness of a member, of or participant, in the securities infrastructure business,

        (xiii)    any civil claim against the securities infrastructure business, or

        (xiv)    any litigation instigated by the person operating the securities infrastructure business.

    (b)    A person operating a securities infrastructure business shall make public the information described in paragraphs (ii), (iii), (i), (ix), (xiii) and (xiv), unless it is able to satisfy the Regulatory Authority that such public disclosure would not be in the interests of the Botswana capital markets.

5.    Additional reporting requirements for persons operating an exchange

    (a)    A person operating an exchange shall provide a report, annually and quarterly on the performance of the exchange, including—

        (i)    an overview of market developments, including, inter alia relevant data on market size, turnover and significant price movements,

        (ii)    the number and nature of transferable securities or listed derivatives on the exchange, including details of any new listings,

        (iii)    details of any new forms of securities,

        (iv)    any action taken in respect of potential or actual defaults, and

        (v)    any other information material to an assessment of whether the market is continuing to function in an orderly fashion.

    (b)    A person operating a securities infrastructure business shall submit a weekly market report including—

        (i)    an overview of market developments, including, inter alia relevant data on market size, turnover and significant price movements,

        (ii)    any action taken in respect of potential or actual defaults, and

        (iii)    market positions or credit exposures of market participants that exceed a limit agreed with the Regulatory Authority.

    (c)    A person operating an exchange shall make an immediate notification of the following events—

        (i)    any decision to halt or suspend trading,

        (ii)    substantial market movements, or

        (iii)    any indication that there may be serious market misconduct, or financial crime or money laundering.

6.    Additional reporting requirements for persons operating a central securities depository or other clearance and settlement system

    (a)    A settlement operator shall include, within its quarterly financial report, the margin payments held from participants.

    (b)    A settlement operator shall provide immediate notification of any—

        (i)    event that prompts the securities infrastructure business to consider using its powers to take action to prevent a default by a participant,

        (ii)    default by a participant, and

        (iii)    potentially disruptive large position held by a participant.

PART I
Preliminary (regs 1-3)

1.    Citation

    These Regulations may be cited as the Securities (Online Trading Services) Regulations.

2.    Interpretation

    In these Regulations, unless the context otherwise requires—

    “day trading” means a strategy of short term investment that involves closing out all positions before the market closes;

    “electronic Prospectus” means a Prospectus relating to an offer of securities to the public which is distributed through the internet, and includes a website of an issuer or a website of an online trading service provider, a computer network, CD-ROMs, a floppy disk or any other electronic medium;

    “investment advisory service” means an advisory service provided by a securities institution licensed under the Act and carrying on business as such;

    “online trading service” means the provision of a service by an online trading service provider which acts as a securities business for the online service provider’s clients in connection with their internet purchase or sale of securities, and includes the provision of any other matter reasonably incidental or ancillary to the provision of such services;

    “online trading service provider” means a securities broker, dealer or securities exchange approved by the Regulatory Authority under these Regulations, to offer online trading services in securities;

    “other electronic medium” means any hand held, wireless, voice activated, SMS messaging, trading or communication device; and

    “Regulatory Authority” has the same meaning assigned to it under the Non-Bank Financial Institutions Regulatory Authority Act (Cap. 46:08).

3.    Application

    (1) These Regulations shall apply to any person who wishes to operate as an online trading service provider of a securities business listed under the Act.

    (2) These Regulations provide a regulatory framework, but shall not be limited to system processes, operations, information security, confidentiality and availability, integrity of the information system and infrastructure, and personnel involved.

    (3) An online trading service shall be based on an order routing system, which shall route client orders for execution through an internet trading system provided by a licensed online trading service provider, based on a regular order matching principle.

    (4) These Regulations shall not apply to a proprietary trade network or internet facility operated by a securities exchange or a recognised clearing house or central securities depository, licensed by the Regulatory Authority.

PART II
Requirements for Application for Licence (regs 4-10)

4.    Application for licence

    (1) A person shall not carry out a business which offers an online trading service in a security, offer securities business services, or investment advisory services in respect of a security in Botswana through the internet or other electronic medium, unless such a person has been issued a licence by the Regulatory Authority.

    (2) An online trading service or offer of securities for sale shall be deemed to be taking place in Botswana where it is—

    (a)    provided by an organisation in Botswana; or

    (b)    targeted at investors in Botswana.

    (3) An online trading service provider shall not provide a service unless such a service facilitates the trading of listed securities through a licensed securities exchange or a foreign securities exchange recognised by the Regulatory Authority.

    (4) An application for a licence under subregulation (1) shall be made to the Regulatory Authority in Form 1 set out in Schedule 1, and shall be accompanied by the prescribed information set out in Schedule 2.

    (5) A securities exchange may provide an online trading service to a securities broker or dealer provided that the securities broker or dealer complies with these Regulations, and has been approved by the Regulatory Authority.

    (6) A securities broker or dealer may supply its own internet trading service provided that it complies with these Regulations, and the securities broker or dealer obtains prior written approval of the Regulatory Authority.

    (7) A securities broker or dealer may use an online trading service supplied by another organisation such as a recognised foreign securities exchange, provided that the securities broker or dealer obtains prior written approval of the Regulatory Authority.

    (8) An applicant for a licence shall provide a detail of the services to be provided, and shall ensure that the services comply with these Regulations.

    (9) An application for a licence shall be accompanied by—

    (a)    a certificate which is evidence of membership of a securities exchange duly registered in terms of the Act;

    (b)    detailed guidelines that relate to trading, matching, clearing and settlement facilities of transactions;

    (c)    detailed information relating to—

        (i)    a description of products, target market, marketing plan and step by step of processes end to end, and

        (ii)    an information technology system assessment to satisfy the nature, scale and complexity of business of which, assessment shall be evidence of resources sufficient to efficiently operate and manage the online service provider’s facilities as provided for under Part III of these Regulations;

    (d)    an agreement that the applicant has with any licensed third party on provision of a trading and clearing platform or any facility that shall be used for purposes of trading securities on the internet; and

    (e)    a certificate of good standing with the Regulator of the third party or a broker providing the platform, or of the securities exchange offering its platform in the case of a securities broker or dealer who intends to engage in providing an online trading service with a securities exchange outside Botswana.

    (10) Any person who contravenes subregulations (1), (2) and (3) commits an offence and is liable to penalties provided in the Act.

5.    Issue of licence

    (1) Where the Regulatory Authority is satisfied that the applicant has—

    (a)    complied with the requirements of regulation 4; and

    (b)    demonstrated the capacity to meet the obligations and compliance requirements as provided for under Part III of these Regulations,

the Regulatory Authority shall, within 90 days of receiving the application, issue a licence to the applicant in Form 2 set out in Schedule 1.

    (2) A licence issued by the Regulatory Authority under this Part—

    (a)    shall be valid for a period of three years; and

    (b)    may be subject to such conditions as the Regulatory Authority may determine as necessary for the better carrying out of the online trading service provider’s business.

6.    Conditions of licence

    The Regulatory Authority shall impose the following conditions on any licence issued by it under the Act—

    (a)    a licence issued under the Act shall not be transferable;

    (b)    a licence holder shall undertake only the online trading service provider activities, specified in the licence;

    (c)    a director of an online trading service provider shall not be a director or partner, or have any direct or indirect interest in any other securities broker or dealer; and

    (d)    an online trading service provider shall be operated at all times by an officer who is an agent, partner, director or employee, and has the requisite skills acquired from an accredited trainer or training institute, and also has the power to execute orders on an online trading platform.

7.    Variation, suspension or cancellation of licence

    The Regulatory Authority may vary, suspend or cancel a licence issued under the Act, and may exercise any of the other powers available to it where—

    (a)    an online trading service provider makes such a request subject to the approval of the Regulatory Authority;

    (b)    any information supplied to the Regulatory Authority by the online trading service provider, its key persons or controllers is false or misleading;

    (c)    the Regulatory Authority is no longer satisfied that the conditions which justify the granting of a licence continue to exist;

    (d)    an online trading service provider or any financial group of which it is a part of, has breached any of the requirements under the Act;

    (e)    an online trading service provider has breached a condition on the licence;

    (f)    the Regulatory Authority has reasonable grounds to believe that the online trading service provider, its key persons or controllers are not fit and proper persons;

    (g)    an online trading service provider has not commenced business within a period of 12 months from the date a licence was issued to the provider;

    (h)    an online trading service provider does not carry on or is likely not to carry on its business with integrity, prudence and professional skill;

    (i)    an online trading service provider is or likely to be in an unsound financial position;

    (j)    an online trading service provider causes or promotes instability in the financial system, or is likely to do so;

    (k)    an online trading service provider is or is likely to be involved in financial crime;

    (l)    an online trading service provider has failed to submit a report as required by the Regulatory Authority; or

    (m)    an online trading service provider has failed to pay a civil penalty imposed by the Regulatory Authority.

8.    Renewal of licence

    (1) A licensee shall apply to the Regulatory Authority for the renewal of a licence in Form 3 set out in Schedule 1, at least three months before the licence expires.

    (2) Where an application for renewal is made after the licence has expired, the Regulatory Authority may renew the licence subject to payment of a penalty fee of P1000 per day during the period that the online trading service provider does not renew its licence.

    (3) Where a licensee re-applies for a licence after a period of three months from the expiry date of the licence, the Regulatory Authority shall treat the re-application as a new application.

    (4) An application under subregulation (3), shall be accompanied by the prescribed information set out in Schedule 2.

    (5) Where an applicant provides insufficient information under subregulation (4), the applicant shall supply such additional information and meet such additional criteria as the Regulatory Authority may direct.

9.    Extension of licence

    Where an application for a renewal of a licence is still underway, the Regulatory Authority may extend the existing licence period for a term of not more than three months, on such terms and conditions as it deems fit.

10.    Surrender of licence

    Where an online trading service provider decides to withdraw from a regulated activity, the online trading service provider shall—

    (a)    give 30 days notice to the Regulatory Authority and each of its clients, of the decision;

    (b)    ensure to the satisfaction of the Regulatory Authority that any outstanding business is properly transferred to another licensed online trading service provider; or

    (c)    arrange for an orderly winding down of the business subject to any conditions that the Regulatory Authority may specify.

PART III
Operational and Trading Requirements (regs 11-14)

11.    Appointment of compliance officer

    An online trading service provider shall, subject to an approval by the Regulatory Authority, appoint a resident of Botswana as a compliance officer, and whose functions shall include ensuring compliance with the Financial Intelligence Act (Cap. 08:07).

12.    Operational requirements

    (1) An online trading service provider shall ensure that—

    (a)    the online trading platform is compliant with regulations and safety standards, including any additional rules set out by a securities exchange or recognised third parties; and

    (b)    the process for collection, distribution and handling of electronic and physical Prospectus, public offer documents, offering contracts and the electronic interface of its website for clients and issuers are available.

    (2) An online trading service provider shall—

    (a)    ensure confidentiality of information in such a way that information is only accessible to an authorised person or system;

    (b)    ensure that satisfactory internet security measures are in place to prevent—

        (i)    unwanted disclosure of personal data, transactions, activity and presence on the internet,

        (ii)    misappropriation of identification,

        (iii)    impersonation that may lead to unauthorised or illegal transactions,

        (iv)    unauthorised usage, inability to detect malpractices in a timely fashion, or to identify the perpetrator,

        (v)    attacks from third parties designed to interrupt the service or aimed at the service becoming an agent for an attack against another website, and

        (vi)    collection and analysis of data by unauthorised third parties;

    (c)    safeguard the integrity of the service including controls to counteract—

        (i)    non-compliance with rules issued by the Regulatory Authority leading to illegal transactions, fraud or malpractice,

        (ii)    presentation of incorrect data, whether unintentionally or malevolently,

        (iii)    false presentation or the use of incomplete information for transactions,

        (iv)    manipulation of data,

        (v)    viruses leading to loss of data, unauthorised access to data, unavailability or threat of unavailability of systems, and

        (vi)    cyber extortion, selling data stolen from, or illegally obtained from service providers;

    (d)    ensure the availability of the service in the event that—

        (i)    the website is not reachable, and there is no possibility to trade, get or give information,

        (ii)    parts of the website are not reachable either through a denial of service, attack or lack of capacity, or

        (iii)    the provider of the service is unable to give timely access to the website or parts of the website;

    (e)    ensure that a satisfactory alternative arrangement and contingency plan are in place to ensure that business can continue in the event of a large-scale disruption;

    (f)    ensure that the identity of the person or system accessing the service is properly verified by the use of personal identification numbers, passwords, electronic signatures or such other approved mechanism so as to exclude unauthorised access;

    (g)    ensure that satisfactory arrangements are in place so that an online trading service provider can at all times uniquely identify each and every order during the different stages of processing;

    (h)    ensure that orders placed through its systems are fairly allocated in accordance with the rules of the relevant trading platform where applicable;

    (i)    ensure that the system has mechanisms to prevent executions of unintended duplicate orders;

    (j)    ensure that there is an effective audit trail to address risks arising from—

        (i)    the opening, modification or closing of a client account,

        (ii)    any transaction with financial consequences,

        (iii)    any authorisation granted to a client to exceed a limit, and

        (iv)    any granting, modification or revocation of systems access rights or privileges;

    (k)    evaluate its operational arrangements or plans from time to time in line with the standards of best practice and maintain a report of such evaluation which shall include—

        (i)    details of the procedure for undertaking such an evaluation,

        (ii)    the time at which such evaluation is undertaken, and

        (iii)    a copy of the results of such evaluation;

    (l)    where there are any significant changes to its system or to the functionality of the systems—

        (i)    provide the Regulatory Authority with information relating to such changes, and

        (ii)    as soon as reasonably possible, and within two months of the said changes, lodge with the Regulatory Authority a copy of the online trading service provider’s testing and implementation strategies; and

    (m)    implement such further arrangements or plans which it is directed to implement by the Regulatory Authority.

13.    Trading requirements

    (1) An online trading service provider shall—

    (a)    submit for vetting and approval to the Regulatory Authority, the following—

        (i)    a procedure for the commencement of internet services in terms of which participants are to be screened, and

        (ii)    an agreement with clients to whom it offers an online trading service that contains appropriate and prominent risk disclosures, and the online trading service provider shall comprehensively and fully state the risks associated with internet based transactions;

    (b)    have an appropriate arrangement in place to assess a client’s suitability to undertake securities transactions via the internet, including a written consent of the client;

    (c)    have an appropriate arrangement in place to approve a client’s account for day trading;

    (d)    have an adequate risk management systems for controlling exposure to an internet client;

    (e)    have an adequate number of suitably qualified staff under the control of a senior manager, to control and monitor transactions and render clients, services in accordance with the rules and regulations;

    (f)    either have—

        (i)    suitably qualified staff to operate and maintain the systems used for online trading services, or

        (ii)    an irrevocable agreement with a suitably qualified third party provider for the operation and maintenance of such systems; and

    (g)    be responsible for settlement of each and every trade executed through the online trading service that it utilises.

    (2) A securities exchange may specify its own requirements, in addition to these Regulations, for allowing an online trading service provider to connect to a system operated by the securities exchange.

    (3) An online trading service provider shall provide the Regulatory Authority with details on how it is to satisfy itself on the true identity of a person opening an account and the measures the online trading service provider intends to take to ensure that the account is maintained and operated by the person opening the account.

    (4) Where an online trading service is to be operated on behalf of a securities broker or dealer, an application for a licence shall be accompanied by a statement from the securities broker or dealer detailing the contingency arrangements that are to be put into effect in the event that the supplier of the service is unable to continue providing the service.

14.    Display and disclosure of information

    (1) An online trading service provider shall display—

    (a)    in a prominent place within its office, a valid licence issued by the Regulatory Authority; and

    (b)    a statement on its system that, “This online trading service provider has been licensed by the Non-Bank Financial Institutions Regulatory Authority of Botswana. The Regulatory Authority shall not be liable for any action in damages suffered as a result of this approval”.

    (2) An online trading service provider shall display in a prominent place on the online trading service homepage or landing platform, the following information—

    (a)    a copy or a hyperlink to a copy of the current licence issued under regulation 4;

    (b)    formal hours of trading for each day of the week;

    (c)    relevant contact numbers;

    (d)    procedures referred to in subregulation (5); and

    (e)    any disclosure which is required to be made in terms of the Act or by an order of the Regulatory Authority.

    (3) An online trading service provider shall provide the following information in plain English and in an easily accessible form—

    (a)    a basic explanation of securities trading, including definitions of common terms used on the trading screen;

    (b)    a detailed procedure and process regarding the manner in which an order is accepted, processed, settled and cleared via the internet;

    (c)    disclosure about the risks of internet securities trading, including the risk of systems outages and failures, and any alternative means of placing orders;

    (d)    a procedure to cancel pending orders during a system failure;

    (e)    a glossary explaining key investment terms and concepts including—

        (i)    the difference between the various types of orders that may be placed,

        (ii)    a notice that a market order may be executed at a price higher or lower than the quote displayed on the website at the time of order entry,

        (iii)    an explanation of how a client’s order is executed,

        (iv)    any situation where a client may not receive an execution,

        (v)    any restriction on the type of orders that a client may place, and

        (vi)    how market volatility can affect a client’s orders;

    (f)    the regulations affecting a client, broker or dealer relationship, arbitration rules, investor protection rules and the Tribunal;

    (g)    a hyperlink to the website or page on the website of the relevant securities exchange displaying rules, regulations or circulars; and

    (h)    a “Terms of use” policy document which shall be approved by the Regulatory Authority.

    (4) An online trading service provider’s trade confirmations and contract notes—

    (a)    may, subject to the rules of the online trading service provider or securities exchange, be sent by email on condition that the securities broker or dealer—

        (i)    notifies in writing, 30 days in advance the Regulatory Authority, the internet service provider and securities exchange concerned, of the intention to use electronic trade confirmations or contract notes, and

        (ii)    obtains prior written consent from the clients concerned; and

    (b)    sent by email shall be digitally signed by electronic signature in accordance with the Electronic Communications and Transactions Act.

    (5) An online trading service provider shall have in place, a procedure to address complaints by a client so as to ensure that—

    (a)    due process is upheld on an ongoing basis to the satisfaction of the Regulatory Authority, which shall include—

        (i)    an effective arrangement for the investigation and resolution of the complaint made against the online trading service provider,

        (ii)    establishing and maintaining a register of complaints made against the online trading service provider, and resolutions reached,

        (iii)    a Dispute Resolution Policy Procedure including the place and contact numbers of where a complaint may be lodged, or

        (iv)    a record of the complaints which shall be maintained for a minimum of 20 years; and

    (b)    where a dispute is not satisfactorily resolved, the complainant confirms this in writing, and the online trading service provider shall notify the Regulatory Authority within 30 calendar days, of the unresolved complaint.

    (6) An online trading service provider which contravenes the provisions of these Regulations commits an offence and is liable to a penalty under the Act.

PART IV
Offer of Securities and Prospectus (regs 15-16)

15.    Offer of securities

    (1) An offer of securities for sale by way of a Prospectus shall be made in compliance with the Companies Act (Cap. 42:01).

    (2) Where an electronic Prospectus is to be distributed, the issuer shall ensure that paper copies of the Prospectus are made available to investors, and the issuer shall state prominently in the electronic Prospectus—

    (a)    that a paper Prospectus is also available; and

    (b)    a convenient location for collection of the paper Prospectus.

    (3) An online trading service provider shall ensure that—

    (a)    it adheres to the sponsor’s, issuer’s or the share registrar’s instructions in relation to the overall co-ordination and timing of the offering;

    (b)    the electronic Prospectus, offer documents and the application input screen are readily accessible on its website and the public offer documents are identical to those provided by the issuer;

    (c)    the electronic Prospectus, public offer documents and application input screen are complete, located close to each other and cannot be tampered with;

    (d)    it provides a hyperlink to the electronic Prospectus or public offer documents on the issuer’s website;

    (e)    as an alternative to providing a copy of the electronic Prospectus or public offer documents on its website, an online trading service provider may, establish a hyperlink from its website to the website of the issuer or any standalone website set up by the issuer, for the duration of the public offering or that of a suitable third party, and any intermediary wishing to use the method shall—

        (i)    obtain prior consent from the issuer or the third party to establish the hyperlink, and the online trading service provider shall indicate on its webpage containing the hyperlink whether consent has been obtained,

        (ii)    ensure that the webpage or the icon containing the hyperlink contains a clear message to inform a client that he or she is leaving the online trading service provider’s website and entering the website of another person,

        (iii)    ensure that the webpage or the icon containing the hyperlink clearly describes where the hyperlink leads and the hyperlink shall only provide direct access to the front cover or table of contents of the relevant document,

        (iv)    put in place a procedure to monitor the performance of the hyperlink to ensure that an applicant using the online trading service provider’s webpage can access the electronic Prospectus or public offer documents for as long as applications are being accepted through such online trading service provider, and

        (v)    immediately cease to accept applications through its website where the hyperlink fails to provide applicants with proper access to the electronic Prospectus or public offer documents on the issuer or third party’s website;

    (f)    the electronic Prospectus or public offer documents on the online trading service provider’s website is first displayed or made available at the same time as the electronic Prospectus is made available to the public by the issuer;

    (g)    a statement is made to the effect that no applications or monies can be accepted—

        (i)    once the public offering has closed,

        (ii)    where the online trading service provider has any reason to believe that the electronic Prospectus or public offer documents or processes for collection and handling of applications have been tampered with, or

        (iii)    where duplicate or multiple applications have been made to the issuer;

    (h)    the information required by the sponsor or issuer is provided to enable the online trading service provider to monitor the public offer, including information in relation to the level of application and volume of the online trading service provider’s processes during the offer, is given to the sponsor or issuer upon request;

    (i)    the online trading service provider’s website and operation—

        (i)    give a client access to free software to download, extract compressed files, view and print the public offer documents or application input screen,

        (ii)    give an applicant contact information for technical support or enquiries in connection with the operation of the public offer service and the website, or

        (iii)    give a client an opportunity to read or access the electronic Prospectus or public offer documents before being given access to the webpages where the particulars relating to the application are collected;

    (j)    a confirmation is given to the applicant as soon as possible once an application has been submitted;

    (k)    an applicant is able to print a copy of the relevant webpages containing the details of application information inputted by him or her and the confirmation message;

    (l)    the website and presentation of the public offer information encourages an investor to make an investment decision based only on the content of the Prospectus or public offer documents, rather than promotional or marketing materials and media coverage;

    (m)    there are sufficient procedures to monitor the electronic Prospectus of the public offer service, the online trading service provider provides, and that the public offer service is offered in accordance with the sponsor’s or the issuer’s instructions;

    (n)    there are reasonable measures to ensure that the online trading service provider’s computer system has sufficient capacity and security to protect the integrity of the transactions, and that the contingency plans are put in place to deal with the situation where the internet is disrupted;

    (o)    information is provided on the online trading service provider’s website to enable a potential applicant to determine whether the service is suitable for him or her, and shall include—

        (i)    a clear criteria used to sign on a new client,

        (ii)    the type of person who is eligible to use the service and existing clients,

        (iii)    a clear delineation of the area containing the electronic Prospectus or public offer documents, and a warning to an applicant that—

            (aa)    any information falling outside those areas shall not form part of the electronic Prospectus or public offer documents; and

            (bb)    the securities are offered solely on the basis of the information in the Prospectus or public offer documents;

        (iv)    the procedure which an applicant shall go through to make a valid application, including the issuer’s terms and conditions,

        (v)    the date and time for various stages of the public offer, including deadlines for submitting applications and making payments,

        (vi)    instructions and information in relation to the application procedure including any requirement or arrangement which an applicant shall have in place so that the applicant may use the service such as—

            (aa)    a list of payment methods;

            (bb)    limitations associated with the payment method such as service lead time or transaction limits;

            (cc)    circumstances and procedures for refunding monies to an applicant;

            (dd)    a procedure for distributing and registering securities certificates, or crediting an applicant’s account;

            (ee)    description of the fees and charges that may be made to the applicant; or

            (ff)    deadlines for submission of the application;

        (vii)    a statement that a potential applicant shall read the public offer documents prior to making an investment decision and shall make the investment decision based on the public offer documents rather than on information, particularly a promotional, marketing material or media coverage that may accompany the offering,

        (viii)    a warning that, in using the service, the client assumes the risks associated with conducting transactions over the internet,

        (ix)    a list of suggested alternative places where an applicant may obtain a copy of the public offer documents, and

        (x)    a prominent statement on the online trading service provider’s website informing an applicant that the website belongs to the online trading service provider and not the issuer, and that when using the public offer e-service, the online trading service provider is the applicant’s and not the issuer’s agent.

    (4) The offer for securities shall clearly specify—

    (a)    the procedure for payment;

    (b)    the procedure for refunding money to an applicant;

    (c)    the procedure for distribution of securities certificates or crediting the applicant’s securities account in the event that an application is successful;

    (d)    a full description of any additional fees and charges that are to be paid by the applicant other than anything already specified in the Prospectus; and

    (e)    the deadline for the submission of an application by the applicant.

16.    Prospectus

    (1) The following enhancements or differences between a paper version and an electronic version of any public offer document shall be acceptable—

    (a)    a search facility for a defined expression;

    (b)    a hypertext link within the Prospectus;

    (c)    prompts to assist readers to use and find information in the document and the prompts shall not contain any information that does not appear in the registered paper document; and

    (d)    a zoom facility which shall ensure that a reader may enlarge or reduce the information displayed.

    (2) An online trading service provider shall ensure that an electronic supplemental Prospectus is provided on the online trading service provider’s website at the same time it is made available to the public by the issuer.

    (3) Notwithstanding the issuance of a Prospectus in an electronic form, an application form for securities shall only be issued when accompanied by a Prospectus in a paper form, and an issuer shall take all reasonable steps to ensure that where an investor is able to receive an electronic application form, such application form when dispatched, is attached to or accompanied by an electronic Prospectus.

    (4) Where an electronic Prospectus is made available online, an issuer shall provide—

    (a)    a full version of the Prospectus on the website which can effectively be read, printed, or downloaded;

    (b)    a full version of the Prospectus via a hyperlink to another website which can effectively be read, printed, or downloaded; or

    (c)    such other method of obtaining a full version of the Prospectus, including e-mail, provided that the distribution method is clearly identified on the website and does not involve any charge.

    (5) An online trading service provider shall ensure that a Prospectus is made available to an investor prior to the investor gaining access to an application form or a webpage for the execution of an order to purchase securities, and a prominent statement shall be placed on the website to advise investors to read the Prospectus prior to submitting an application or executing an order.

    (6) An online trading service provider shall—

    (a)    implement measures to ensure that an investor can access a webpage for executing an order, only if the investor has been given an opportunity to read or access the electronic Prospectus;

    (b)    implement measures to ensure that an investor may access a webpage for executing an order only if the investor has confirmed that an opportunity has been given to him or her to read or access the electronic Prospectus, by providing a confirmation facility on the webpage containing the Prospectus or the hyperlink to allow investors to positively declare, by clicking on the facility, that they have been provided with sufficient opportunity to access or read the relevant Prospectus and the information disclosed therein; and

    (c)    ensure that where an investor has made a positive declaration referred to in paragraph (b), the investor shall not be given access to the webpage for executing an order to purchase securities.

    (7) An online service provider shall ensure that in a website where an electronic Prospectus is made available, the website shall clearly specify the areas that contain the electronic Prospectus, and hyperlinks from an electronic Prospectus to other documents or webpages shall not be acceptable unless the other documents and information are required to be made available for inspection or, directly referred to in or form part of the Prospectus.

    (8) Subject to subregulation (7), a hyperlink which provides an exit from the electronic Prospectus to the previous start point shall be acceptable.

PART V
Provisions for securing of data and independent assessment (regs 17-18)

17.    Security of data

    (1) The online trading service provider shall ensure that its system uses an encryption to reduce the risk of third party interception of information sent between a client’s computer and the information technology system of the online trading service provider.

    (2) The encryption shall apply to all orders being entered and to any communication with any client, which contains confidential information.

    (3) The online trading service provider shall ensure that its system—

    (a)    uses a firewall to prevent any intrusions by an unauthorised person; and

    (b)    is configured to allow auto-logoff in case of inactivity of the trading terminal or the trading website.

    (4) An online trading service provider shall demonstrate that it has in place, a written security policy based on or containing these Regulations as part of its security policy.

18.    Independent assessment

    The Regulatory Authority may engage technical experts to undertake an independent assessment of the operational capacity and security of an information technology system for which approval is sought, at the cost of the applicant and subject to the applicant agreeing in advance to a maximum charge.

PART VI
Reports and Record Keeping (regs 19-20)

19.    Reports and record keeping

    An online trading service provider shall maintain—

    (a)    monthly reports on the reliability and compliance status of the service and the report shall include the—

        (i)    number of users of the system as at the end of the month,

        (ii)    daily average number of all types of transactions processed by the system during the month,

        (iii)    highest number of transactions processed by the system on a single day during the month,

        (iv)    percentage of the scheduled time for availability for which the service was not available,

        (v)    number of incidences in which the system remained partially or fully inaccessible for trading,

        (vi)    reasons for non-availability, and

        (vii)    system modifications if any, and the impact on the existing services;

    (b)    a quarterly report of the number of complaints received during that quarter; and

    (c)    financial information for a three month period which information shall include—

        (i)    a statement of comprehensive income,

        (ii)    a statement of financial position,

        (iii)    the cash flow statement, and

        (iv)    information on controllers, key persons or shareholders.

20.    Submission of information to Regulatory Authority

    (1) An online trading service provider shall within five business days, inform the Regulatory Authority in writing, where—

    (a)    the online trading service provider or any of its branches ceases to operate;

    (b)    the online trading service provider becomes unable to pay any of its debts promptly and in full;

    (c)    there is a change in contact numbers or address of the online trading service provider; or

    (d)    there is a change in the business affairs of the online trading service provider that has or may have a negative effect on a client.

    (2) An online trading service provider shall, within 90 days of the end of its fiscal year complete and submit to the Regulatory Authority, a compliance report in Form 1 set out in Schedule 3.

    (3) An online trading service provider who fails to submit any information required under these Regulations commits an offence and is liable to the penalties specified in the Non-Bank Financial Institutions Regulatory Act and other applicable written laws.

PART VII
General (regs 21-22)

21.    Compliance with other Acts

    (1) These Regulations shall not preclude an online trading service provider from complying with provisions of the Financial Intelligence Act and the Cybercrime and Computer Related Crimes Act (Cap. 08:06).

    (2) An online trading service provider shall ensure that its information technology system—

    (a)    scans each applicant in compliance with the Counter-Terrorism Act (Cap. 08:08); and

    (b)    identifies and generates alerts for suspicious transactions.

22.    Suspension of licence and administrative penalties

    (1) The Regulatory Authority shall assess the effectiveness of systems and processes of an online trading service provider in accordance with these Regulations.

    (2) The Regulatory Authority may suspend the licence of an online trading service provider if it violates any of these Regulations.

    (3) Notwithstanding subregulations (1) and (2), the Regulatory Authority shall not be precluded from imposing any administrative penalties as provided for in the Non-Bank Financial Institutions Regulatory Authority Act and other applicable laws.

Information to accompany a licence application

•     General licence application requirements

1.    An application for a licence in the form prescribed in Schedule 1, together with any relevant attachments shall be enclosed in a sealed envelope and filed with the Regulatory Authority.

2. An application shall be accompanied by personal questionnaires signed and dated by each key person, controller and shareholder.

3.    An applicant shall upload all the required information on the NBFIRA Portal.

•     Information to be supplied by applicants for a licence

1.    Each applicant shall supply a description of the kind of business it seeks to undertake and the licence category for which it is applying.

2.    Each applicant, unless it is a newly formed business, shall supply copies (certified by the Director or Partner, as the case may be) of the last balance sheet and of the last profit and loss account, (if any), incorporating the results of its last financial year, and which have respectively been audited by a qualified auditor (including every document required by law to be attached). The copies of the financial statements shall be accompanied by a copy of the report of the auditors thereon (certified as aforesaid).

3.    Where the audited accounts are for a period that ends more than six months before the date of application, the applicant, unless it is a newly formed business, shall supply unaudited accounts for a period ending not earlier than six months prior to the date of application (which shall also be certified by a Director or Partner, as the case may be, as being a true and fair reflection of the company’s financial position to the best knowledge of the applicant.

4.    Each applicant shall supply a business plan containing the particulars of the names and addresses of the key personnel, controllers and shareholders.

5.    The names of the key personnel (of which there shall be at least two) who shall be registered with the Regulatory Authority as being responsible for the conduct of the business.

6.    Where the applicant is a company, the shareholding structure which shall disclose-

    6.1    whether any of the shareholders will have an executive role to oversee the day-to-day operations of the business; and

    6.2    where controllers are incorporated, the full group structure.

7.    Where the applicant is a partnership, the names and addresses of the partners and information as to which of the partners will have an executive role to oversee the day-to-day operations of the business.

8.    The qualifications, experience and expertise of key personnel and an explanation of how those qualifications individually and collectively will be sufficient for the business to be undertaken.

9.    The financial projections for three years, together with the key assumptions on which the business plan is based.

10. One bank reference from the applicant’s current bank, or, if the applicant has yet to establish a bank account, the applicant should supply a bank reference for at least two of the directors or partners.

11. Two business references relating to the applicant or, if the applicant has yet to commence business, references relating to at least two of the directors or partners.

12. The proposed premises suitably located and equipped to provide satisfactory service to clients in the field of activity to which the licence relates or evidence acceptable to the Regulatory Authority that such premises will be available.

13. The human and technology resources available to the market intermediary that will be capable of providing professional services to clients in the field of activity to which the licence relates or evidence acceptable to the Regulatory Authority that such resources will be available.

14. The proposed independent auditor.

15. Each applicant shall give an overview of its proposed corporate governance arrangements, which shall include the legal form of the applicant and-

    15.1    if it is a company, its certificate of incorporation and memorandum and articles of association,

    15.2    if it is a partnership, its partnership agreement,

    15.3    if it takes any other legal form, details of that legal form and accompanying verification documents,

    15.4    particulars of the Board and Board Committees (if any),

    15.5    particulars of any procedures, codes or protocols that the Board may have adopted at the time of the application and an overview of the procedures, codes and protocols that the applicants intends that the Board shall adopt by the time business commences,

    15.6    particulars of the management and organisation structure, providing an organisation chart with brief descriptions of the powers and duties of the posts,

    15.7    an overview of the applicant’s assessment of risks and policies to mitigate those risks,

    15.8    an overview of the applicant’s proposed internal controls, including-

            15.8.1    an explanation of how the controls mitigate the risks to which the market intermediary is subject;

            15.8.2    a copy of the procedures manual designed to implement internal controls;

            15.8.3    an overview of the proposed contents of such a manual;

            15.8.4    an undertaking that such a manual will be completed by the time the applicant commences licensed activities; and

            15.8.5    the applicant’s code of conduct for staff, which shall include-

            15.8.5.1    the provisions regarding the holding or trading of securities,

            15.8.5.2    other measures for avoiding staff conflicts of interest,

            15.8.5.3    confidentiality provisions, and

            15.8.5.4    the measures to be taken in the event of any breach of the code where the applicant seeks to use agents or other third parties to provide the services for which it will be responsible, the applicant should provide details of the agents or other third parties and should supply a copy of the contract and, where appropriate and available, the service level agreement.

16. Each applicant shall provide evidence that it has the minimum financial resources required for the activities it proposes to undertake as may be specified by the Regulatory Authority from time to time.

17. Each applicant shall provide evidence that it has the required insurance policies in place as may be specified by the Regulatory Authority from time to time.
